Eduardo is a founding member and first Chairman of the Yo Puedo, ¿y Vos? Foundation, a non-profit organization aiming to find broader opportunities for the inclusion of people with Down syndrome in social environments, and currently an active member of the New York State Bar Association (NYSBA), where he also serves as Vice-president of the Latin American Council, of the International Bar Association (IBA) and other international organizations.

Education

Eduardo graduated with honors from Universidad de Costa Rica in 1998. In 2000, he graduated from the Executive Program “Legal aspects of international businesses” of Instituto Centroamericano de Administración de Empresas (INCAE). He also obtained a Master’s Degree from the Law School of Georgetown University, and an LLM Degree from the Law School of Columbia University in New York City, where he graduated with honors as a “Harlen Fiske Stone Scholar” back in 2002. He was also a scholar of the Organization of American States (OAS).

BLP’s 10-partner corporate and M&A practice has a superlative reputation in the market and covers the full array of corporate and M&A-related work, including advice on matters related to private equity, venture capital, corporate restructuring and cross-border M&A deals. In one recent headline mandate, Luís M Castro and Eduardo Calderón led advice to Accenture on the acquisition of Virginia-based technology services company, Search Technologies. Vivian Liberman, who is also active in the banking and finance sphere, assisted One Equity Partners with the acquisition of leading BPO company One Link. Seller-side work saw Ronald Lachner advise Medtronic on the multimillion-dollar sale of its patient care, deep vein thrombosis and nutritional insufficiency business lines. Lachner also led advice to Swarovski regarding its operational start up in Costa Rica and the obtaining of free zone regime status. Another key strength of the practice is day-to-day advice, where its multinational client roster includes the likes of Cargill, KFC, Pfizer and American Airlines. David Gutiérrez, who now splits his time between San José and Madrid, and Uri Weinstok are other key figures in the department.

Dispute resolution

Singled out by peers and clients alike, BLP’s sizeable dispute resolution practice stands out for its ‘solid advice and fantastic representation in court’. Boasting a strong track record of successful representations on both the defence and claimant side, the team handles litigious and arbitral matters arising from a wide variety of areas, including civil, commercial, criminal, IP, tax, employment and antitrust law. The ‘thoroughMauricio Salas, who is also noted for his ‘analytical capacity and understanding of the law in various countries’, steers the practice and continues to lead advice to longstanding client Pfizer on disputes related to distribution and tort cases. In recent headline work, Eduardo Calderón assisted Uber with disputes fuelled by regulatory and political controversies surrounding its entry into the Costa Rican market, including regulatory proceedings, civil actions at the Supreme Court and the development of a litigation strategy after the country’s government declared the client’s operations illegal. Recent highlights in the international arbitration sphere include the successful settlement of a dispute between the firm’s client, Gaya, and its former Central American distributor Asics. Other clients include Amazon, UPS and Siemens.

Real estate

BLP’s sizeable real estate practice is one of the first ports-of-call for domestic and international developers, construction companies, investors and landlords and advises on the full array of related matters, including land and property acquisition and sale, project development, real estate investment and financing, mixed-use and residential projects, condominiums and related due diligence. The five-partner practice is led by the highly-regarded Luís M Castro, who can also count on the involvement of Eduardo Calderón and Andrés López. Moreover, the firm further deepened its capabilities in the sector in June 2018 with the incorporation of four-strong boutique ANS Legal (which had niche specialization in the real estate and hospitality sector), most notably with new ‘special counsel’ Andrés Waisleder who has over 18 years’ experience in the sector. Recent highlights saw the team assist Edward Lifesciences with the establishment of a heart valve manufacturing facility in Costa Rica under the free trade zone regime. Other recent notable matters include advising Los Sueños Resort and Marina on the completion of its new Del Bosque, The Estates and Montecielo projects; and assisting longstanding client Desarrolladores 506 with the development of a $100m beach community, as well as related environmental issues. The client roster also includes Desarrollos Inmobiliaros Habitasul, Guanacaste Development and Amazon.

Tax

BLP’s tax practice covers the full array of contentious and non-contentious work, including tax litigation, tax compliance and day-to-day tax matters. The team is particularly adept at advising on tax aspects of transactions, corporate restructuring, and asset planning and protection, as well as tax issues related to Costa Rica’s free trade zone regime. The department is led by Luis Chacón, who is particularly active in litigious tax matters; while Luís M Castro and Eduardo Calderón primarily handle non-contentious work in the sector. The team’s client base includes domestic, regional and international companies from a variety of industries, such as hospitality, telecoms, finance and pharmaceuticals.
