Lorna Chen is a partner in our Global Asset Management Group and leads our asset management and investment funds practice in Asia. She advises clients in the structuring, restructuring, formation and operation of alternative investment products, including private equity funds, real estate funds, hedge funds and funds of funds. Lorna is also an expert on regulatory and compliance matters related to investment funds and their managers. She has extensive experience in representing investors in making investments in private funds around the globe. Her clients include institutions, funds of funds, sovereign wealth funds, affluent individuals and family offices. Ms. Chen also represents clients in acquisition and joint venture transactions in the asset management area, as well as co-investments. Lorna advises clients on a variety of other topics, including advising both issuers and underwriters in capital markets, project finance and securitization transactions from the perspective of the U.S. Investment Company Act of 1940. Lorna has also worked in the areas of general corporate law and mergers and acquisitions, and has advised major international corporations in their cross border business transactions with China. Lorna joined the firm’s New York office in 2001 and has worked in the Asset Management Group in New York until she transferred to our Hong Kong office in late 2008. From Asia she continues to serve the firm’s global clients in the asset management area, with a focus on enhancing the firm’s ability to provide asset management services to Asia-based clients or clients with an Asia focus. Lorna was named in Chambers Asia, 2009 for investment funds Asia-wide. She was also rated as a "Key Individual" for "Investment Funds: Private Equity Asia-wide" in Chambers Global 2010. In 2013, she was named as "Key Individual" for "Investment Funds: Private Equity Asia-wide" in Chambers Asia, 2013 and rated as a "Leading lawyer" in Asialaw leading lawyers 2013 edition.

Shearman & Sterling's team has vast experience in assisting clients across multiple sectors with cross-border transactions that require innovative structuring solutions. It has a particularly standout reputation in going-private transactions involving US-listed Chinese companies, having handled more than 40 of these matters since 2010; clients in this space include special committees of independent directors, acquirers and financial advisers. In 2017, a highlight involved acting for the board of directors at New York Stock Exchange-listed Zhaopin on its $1.02bn acquisition by SEEK International Investments (Zhaopin's controlling shareholder), Hillhouse Capital and FountainVest. In another mandate, Colin Law was the lead adviser to the controlling shareholder of Future Land Development Holdings on a $661m privatisation bid. Elsewhere, other bedrocks of the diverse practice include foreign direct investments into China, public and private M&A, as well as China outbound acquisitions of, and investments in, US and European corporates. Tang advised China-based Primavera Capital on its investment into Alibaba Group's logistics arm, Cainiao Smart Logistics Network Limited. Paul Strecker, who divides his time between the Hong Kong and London offices, acted for Tiger Group Investments on the sale of its Greater China joint venture with The Carlyle Group (and others) to Seaspan. The firm's other clients include Sanofi, GE Technology Development and Li Chen splits her practice between Beijing and Hong Kong.
