Position

Finance partner Stefanie Birkmann represents private equity firms, corporate borrowers, and other borrowers in complex financings. She is highly experienced in a wide variety of syndicated financings—with an emphasis on leveraged acquisition finance and recapitalizations—and advises her clients on senior and subordinated credit facilities, cash-flow and asset-based loans, first and second lien financings, mezzanine financings, bridge loans, high yield debt offerings and debt restructurings, including DIP and exit financings. Ropes & Gray LLP pairs its enviable private equity client base with ‘a truly remarkable team of lawyers’ to create a compelling issuer-side offering. The group is regularly engaged to act on complex and multi-faceted transactions, such as New York-based Jay Kim and Boston-based Kevin Jarboe’s advice to Blackstone and new healthcare IT joint venture Change Healthcare in obtaining $6.6bn in financing, including high-yield bonds. In another high-value deal, Boston’s Michael Lee - who is ‘a highly committed counsel’ - advised IQVIA on two senior notes issuances worth $1bn and €625m respectively. Boston-based Byung Choi, who co-leads the firm’s global finance group, is a key figure in the team and alongside New York’s Stefanie Birkmann assisted Surgery Partners, and its majority shareholder Bain Capital, with its issuance of $370m in high-yield bonds and amendments to its $400m of existing high-yield bonds, to help finance its acquisition of National Surgical Healthcare.

Recently the firm advised the Blackstone Group and Change Healthcare Holdings on the $6.6bn financing required to help facilitate its joint venture with McKesson Technology Solutions into a leading global health care services and IT company. The firm also represented Surgery Partners and its majority shareholder, Bain Capital, on the $1.3bn financing for its acquisition of National Surgical healthcare. Beyond the private equity sphere, the firm represented corporate client IQVIA on a $1.5bn bond issue used in connection with its three-way merger with Quintiles Transnational Holdings and IMS Health Holdings. Highly regarded global co-head Byung Choi leads the team out of Boston, ably supported by Stefanie Birkmann, Jay Kim, Sunil Savkar, and Alexander Zeltser (‘outstanding and brings a balanced aggressive approach to agreement development and administration’) in New York. The firm also has an increasingly active direct lending practice jointly led by Alyson Gal in Boston and Joanne De Silva in New York.   • THE VAT E-COMMERCE PACKAGE

    A. INTRODUCTION   The VAT E-commerce Package adopted by the Council on the 5th of December 2017 includes several changes that will be gradually implemented, some changes will be effective as from the 1st of January 2019 and the rest as from the 1st of January 2021.
  • Doing business in Ukraine: turning point for the currency control in Ukraine

    One of the most hotly discussed topics in 2019 is currency control liberalization in Ukraine.The currency control liberalization was one of Ukraine’s priorities under the EU-Ukraine Association Agreement. At the beginning of 2019 the National Bank of Ukraine (hereinafter the “NBU”) approved and promulgated all long-awaited regulations, serving as the basis for a new liberal system of foreign currency control. The new currency control system will be launched on 7 February 2019, the same day as the Law of Ukraine  On Currency and Exchange Transactions  becomes applicable. The changes are aimed at deregulation, facilitating cross-border transactions with foreign currency and expanding the list of available foreign currency transactions.
  • New Long Term Residency Visas

    After much media coverage, Cabinet Decision 56 of 2018 (the Decision ) has been gazetted which introduces new long term residency visas to, amongst others, four categories of persons in the UAE. 
  • Significant Changes to Civil Procedure Code

    Significant changes to Federal Law No 11 of 1992 (the Civil Procedure Code ) will soon be coming into effect. These changes are introduced through regulations (the Regulations ) issued under the Civil Procedure Code and will come into effect on 16 February 2019.
  • Merger Clearance Matters

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
