Position

Stephen Gruberg is a partner in the Corporate Department and a member of the Capital Markets and Leveraged Finance Groups. His principal focus is the representation of underwriters in a variety of public and private capital markets transactions, including Rule 144A high-yield debt offerings. Steve also has extensive experience representing lending institutions in syndicated loan transactions, including in connection with sponsor led leveraged buy outs, strategic acquisitions, recapitalizations, refinancings and for general corporate purposes.

The ‘top-quality’ capital markets group at Proskauer Rose LLP, which is led jointly by Los Angeles-based Philippa Bond and New York’s Frank Lopez, secures an even amount of issuer and underwriter-side work. Although better-known for its record in high-yield deals, the firm’s investment grade practice also impresses. New York highlights include Lopez, Stephen Gruberg and corporate governance specialist Robert Cantone assisting Celgene with its offering of three series of senior unsecured notes totaling $3bn. In Los Angeles, private equity co-head Monica Shilling advised Ares Capital on its $750m notes offering, while Bond assisted Church & Dwight on a $1.4bn notes offering. Other clients include JP Morgan, Bank of America Merrill Lynch, Citigroup Capital Markets and Wells Fargo Securities.

Proskauer Rose LLP continues to make inroads into the high-yield debt market, particularly on the underwriter side, where it has significantly increased its profile among the major bulge-bracket banks over recent years. Among its headline manager-side mandates, global capital markets co-head Frank Lopez and Stephen Gruberg advised the underwriters (including JP Morgan, Bank of America Merrill Lynch, Citigroup and Wells Fargo) on PulteGroup’s $1bn offering of senior notes. Lopez and leveraged finance lead Justin Breen assisted Jefferies and Deutsche Bank with Airxcel’s $310m offering of senior secured notes. Recent issuer highlights include Lopez and Maximilian Kirchner, who splits his time between New York and London, advising Grifols on its €1bn senior notes offering and Julie Allen assisting Icahn Enterprises with its $1.1bn bond offering.   • THE VAT E-COMMERCE PACKAGE

    A. INTRODUCTION   The VAT E-commerce Package adopted by the Council on the 5th of December 2017 includes several changes that will be gradually implemented, some changes will be effective as from the 1st of January 2019 and the rest as from the 1st of January 2021.
  • Doing business in Ukraine: turning point for the currency control in Ukraine

    One of the most hotly discussed topics in 2019 is currency control liberalization in Ukraine.The currency control liberalization was one of Ukraine’s priorities under the EU-Ukraine Association Agreement. At the beginning of 2019 the National Bank of Ukraine (hereinafter the “NBU”) approved and promulgated all long-awaited regulations, serving as the basis for a new liberal system of foreign currency control. The new currency control system will be launched on 7 February 2019, the same day as the Law of Ukraine  On Currency and Exchange Transactions  becomes applicable. The changes are aimed at deregulation, facilitating cross-border transactions with foreign currency and expanding the list of available foreign currency transactions.
  • New Long Term Residency Visas

    After much media coverage, Cabinet Decision 56 of 2018 (the Decision ) has been gazetted which introduces new long term residency visas to, amongst others, four categories of persons in the UAE. 
  • Significant Changes to Civil Procedure Code

    Significant changes to Federal Law No 11 of 1992 (the Civil Procedure Code ) will soon be coming into effect. These changes are introduced through regulations (the Regulations ) issued under the Civil Procedure Code and will come into effect on 16 February 2019.
  • Merger Clearance Matters

    The United Arab Emirates (the UAE ) promulgated legislation to specifically address the regulation of competition (being Federal Law 4 of 2012, or the Competition Law ) several years ago but until recently, it has been the case that the requisite implementing regulations and processes were not in place. This is no longer the case. Not only have the much anticipated implementing regulations been issued, the UAE Ministry of Economy (the Ministry ) (being the regulator in charge of administering the UAE competition regime) has now formed the required committee and issued the anticipated guidance and forms to allow concerned parties to make merger clearance submissions to the Ministry where required to do so pursuant to the Competition Law.
