Position

Frank Lopez is a partner in the Corporate Department and co-head of the Global Capital Markets Group. He focuses on capital markets transactions, whereby he represents investment banks, sponsors and issuers in public and private debt and equity offerings, often in the context of domestic and cross-border leveraged buyouts, refinancings and restructurings. Frank’s practice includes corporate finance and general securities and corporate matters covering many different industries. Frank has been instrumental in the development of Proskauer’s Capital Markets Group, with a focus on high-yield bonds and IPOs. He has represented underwriters, initial purchasers, dealer managers and placement agents.

Among its highlights for its core issuer client base, Los Angeles-based private equity co-head Monica Shilling assisted Carlyle’s business development company, TCG BDC, with its $166m IPO, and she also acted for Floor & Décor on its $192m IPO and $428m secondary offering. In New York, group co-chair Frank Lopez, together with senior counsel Daniel Forman, assisted Leisure Acquisition with its proposed $250m IPO. Proskauer Rose LLP continues to increase its share and range of manager-side mandates, notably securing high-profile representations for JP Morgan, Deutsche Bank and Jefferies through 2017. However, company-side work remains the mainstay of its global practice and the team secures a significant volume of work relating to Latin American, European and Asian markets. New York-based Carlos Martinez heads the Latin American practice group and recently assisted Colombia’s Banco GNB Sudameris with its $300m subordinated note offering. In a headline European deal, New York-based global capital markets co-head Frank Lopez paired up with Maximilian Kirchner, who divides his time between New York and London, to advise Grifols on its €1bn high-yield bond offering. Among its equity highlights, the firm advised English retail bank Charter Court on its £253m IPO and it also assisted Turkish technology company Logo with its $234m secondary offering.

Proskauer Rose LLP continues to make inroads into the high-yield debt market, particularly on the underwriter side, where it has significantly increased its profile among the major bulge-bracket banks over recent years. Among its headline manager-side mandates, global capital markets co-head Frank Lopez and Stephen Gruberg advised the underwriters (including JP Morgan, Bank of America Merrill Lynch, Citigroup and Wells Fargo) on PulteGroup’s $1bn offering of senior notes. Lopez and leveraged finance lead Justin Breen assisted Jefferies and Deutsche Bank with Airxcel’s $310m offering of senior secured notes. Recent issuer highlights include Lopez and Maximilian Kirchner, who splits his time between New York and London, advising Grifols on its €1bn senior notes offering and Julie Allen assisting Icahn Enterprises with its $1.1bn bond offering.
