Position

Jeffrey Horwitz is a partner in Proskauer's Corporate Department where he co-heads the Private Equity Real Estate practice and leads the internationally recognized Lodging & Gaming Group. He has also served as co-head of the Mergers & Acquisitions practice. Jeff is a general corporate and securities lawyer with broad-based experience in mergers and acquisitions, cross-border transactions, and long-term joint ventures. He advises boards, management teams and investors on strategic matters. He also advises on complex transactions and disputes relating to real estate has handled virtually every type of matter in the lodging and gaming industry.

For Proskauer Rose LLP, 2016 proved to be a strong year for corporate transactional mandates; examples included Jeffrey Horwitz and Steven Lichtenfeld advising Accor on its joint venture with the Qatar Investment Authority, Kingdom Holding Company of Saudi Arabia and Oxford Properties for the $2.9bn acquisition of FRHI Hotels & Resorts; and Chicago-based Michael Choate representing Inland Real Estate in its $2.3bn acquisition by real estate funds managed by DRA Advisors. The practice’s expertise in REITs was also in evidence, with Lichtenfeld advising New York REIT on its aborted acquisition of JBG Companies. On the dirt side, co-chair Ronald Sernau acts for a number of leading developers, including Hines and Extell Development Company; Sernau represented Vornado Realty Trust in signing PricewaterhouseCoopers to a 17-year lease for 240,000 sq ft at 90 Park Avenue. Other key figures in the practice are David Weinberger, who leads on finance work and advised Société Générale in connection with the $450m mortgage financing of the retail condominium unit of the St Regis Hotel in New York, and Perry Cacace, who co-chairs the practice with Sernau. Proskauer Rose LLP now consistently operates in the $1bn-plus bracket, although it maintains an impressive share of middle-market deals. Key industries for the practice are healthcare and life sciences, leisure and hospitality, real estate and sports. In 2016, the firm advised Accor on its $2.9bn acquisition of FRHI Hotels and Resorts. It also advised the senior management team of Multiplan on its acquisition by Hellman & Friedman from Starr Investment Holdings and represented Grifols in its $1.85bn acquisition of Hologic’s blood screening business. Its impressive client list also includes Ares Management, Celgene and Inspired Gaming Group. Los Angeles managing partner Michael Woronoff and Ron Papa co-head the M&A department. Jeffrey Horwitz is noted for real estate and leisure and hospitality deals and was the lead partner on the Accor transaction. Daniel Ganitsky is another key member of the team. Thanks in part to the firm‚Äôs standing in sports, media and entertainment, it was engaged by KKR (alongside Kirkland & Ellis LLP) to advise on the $4bn acquisition, alongside IMG Worldwide and Silver Lake, of a majority stake in UFC. The firm also represented Carlyle in its investment in London-based PA Consulting Group, and advised marquee client Ares Management in connection with Ares Capital Corporation‚Äôs $4bn acquisition of American Capital. The private equity buyouts group is supported by one of the leading private equity fund management teams in the market. Los Angeles-based Michael Woronoff and Monica Shilling co-head the private equity group, with the former regarded as a ‚Äėvery fine lawyer‚Äô and noted for his connection to Ares.   • DOJ Makes the Pilot Program Permanent and Announces FCPA Corporate Enforcement Policy

    The US Department of Justice ("DOJ") had announced a pilot program [1] ("Pilot Program") on April 5, 2016, which created new mitigation opportunities for companies that (i) voluntarily self-disclosed, (ii) cooperated fully, and (iii) took timely and appropriate remedial actions in FCPA matters that fell within the Fraud Section's mandate. The Pilot Program was to remain in effect for 1 year, starting from the day of its announcement. On March 10, 2017, the Acting Assistant Attorney General, Kenneth A. Blanco, announced in a speech that the Pilot Program would continue in full force until the DOJ reached a final decision on whether to extend it, and what revisions, if any, should be made to it. [2] The evaluation period of the Pilot Program ended on November 29, 2017, when Deputy Attorney General Rod Rosenstein announced the new FCPA Enforcement Policy ("Policy"), which effectively makes the Pilot Program permanent with some revisions. According to Deputy Attorney General Rosenstein, the FCPA Unit received 30 voluntary disclosures during the time period that the Pilot Program was in force, as opposed to 18 voluntary disclosures that were received during the previous 18-month period. The Policy has been incorporated into the United States Attorneys' Manual in order to "be readily understood and easily applied by busy prosecutors" as opposed to being promulgated in memorandum format.
