Joshua M. Miller is a partner in the Tax Department at Proskauer. Josh provides legal counsel to companies, investors, senior management teams and individual officers on a broad variety of executive compensation matters, arising in the context of corporate transactions as well as in the ordinary course of personnel issues and pay determinations. Josh focuses on employment and separation agreements and equity and cash incentive programs, along with related securities, stock exchange, tax, governance and labor and employment implications. He balances technical legal proficiency with practical awareness, taking into account considerations of market trends and best pay practices. Josh is frequently involved in management buyouts in the healthcare, technology and private funds space.

Josh is a co-founder and editor of the Firm’s Tax Talks blog. He has written extensively on tax reform, clawback regulations, CEO pay ratio rules and non-qualified deferred compensation arrangements under Internal Revenue Code Section 409A.

Josh joined Proskauer in 2010 from Wachtell, Lipton, Rosen & Katz, and became a partner in 2014. He received a B.S. in Policy Analysis and Management in 2002 from Cornell University, a J.D. cum laude in 2005 from University of Pennsylvania Law School, where he was senior editor of the Law Review, and a Certificate in Business Economics and Public Policy in 2005 from The Wharton School.
