Barbara Melby, a partner in the corporate business transactions practice at Morgan Lewis, has been active in the outsourcing and commercial transactions legal market for the last 20 years. As leader of the firm’s technology, outsourcing & commercial transactions practice, and one of the leaders of its privacy and cybersecurity practice, Barbara represents clients in complex transactions as outsourcing, strategic alliances, technology and data-related agreements, and other services transactions. Barbara co-authored two seminal works in the outsourcing field, Information Technology Outsourcing: Process, Strategies, and Contracts, and Business Process Outsourcing: Process, Strategies, and Contracts (both John Wiley). She also speaks on outsourcing and technology transactions at business, legal, and professional conferences. She spearheaded the launch of, and continues to lead, Morgan Lewis’s blog on technology, outsourcing, and commercial transactions—Tech & Sourcing @ Morgan Lewis.

At Morgan, Lewis & Bockius LLP, the technology, outsourcing and commercial transactions team has experience acting for clients across a broad range of sectors, including consumer goods, retail and automotive. Co-head Barbara Melby, who splits her time between Philadelphia and New York, led advice to Eli Lilly in various domestic and international transactions, including IT service and cross-licensing agreements. In New York, Vito Petretti has been assisting Colgate-Palmolive with a number of commercial matters, including technology transactions and distribution agreements. Michael Pillion also leads the team from the firm’s Philadelphia office. In Boston, Doneld Shelkey is a name to note.

Morgan, Lewis & Bockius LLP assists technology clients with all manner of concerns, including transactional, IP, labor, litigation, insurance, privacy, and regulatory matters. The team regularly assists longstanding client Eli Lilly with a wide range of technology transactions, including co-location agreements for data center operations, and cross-licensing agreements for critical product components; and it continues to assist SanDisk with the drafting and negotiation of commercial and IP issues related to its SD flash memory card joint venture with Toshiba and Panasonic. Barbara Melby works from the Philadelphia and New York offices, and Silicon Valley-based Rahul Kapoor is an IT and outsourcing expert. Philadelphia’s Michael Pillion is also highly rated for technology transaction work; and Doneld Shelkey, who relocated to Boston from Pittsburgh, has particular expertise in technology, e-commerce and online presence management agreements. Other names to note are Vito Petretti, who divides his time between New York and Philadelphia, and New York-based Edward Hansen.
