The firm: The London office brings a full-service legal practice to Europe and complements the firm'€™s capabilities in France, Germany, Italy and Belgium. Virtually all of the firm'€™s lawyers are UK-qualified. The firm is part of an extensive 18-office international network that provides a unique platform from which it offers legal advice to local and international organisations.

Types of work undertaken:Corporate and transactional: the corporate group acts for 25% of FTSE 100 companies, the Borsa Italiana, DAX 30, Euronext Paris, Fortune 500, FTSE 250 and Asian-listed companies, multinationals, investment banks and financial institutions, small and mid-sized businesses, and private equity houses. The firm advises on domestic and cross-border mergers and acquisitions, corporate restructurings and reorganisations, private equity investments, joint ventures and takeover bids.

Private equity: the private equity practice provides a complete service, from advising on buyout acquisitions or the disposal of portfolio companies, to structuring fund investment vehicles.

International private client: the firm advises business owners, corporate executives, high-net-worth individuals and family groups across the globe on all aspects of cross-border wealth management, trust and estate planning, and wealth transfer issues, with particular experience in UK, US and South African legal, tax and compliance matters. Reflecting the firm’s premier name globally for private client work, it advises private equity firms and family interests on their transactional needs.

Health: leveraging on the firm'€™s market-leading reputation in healthcare, lawyers advise on M&A, investments and corporate finance, predominantly within the health industry, and have substantial experience in innovative structures for complex joint ventures, public-private partnerships and funding arrangements across EMEA. The team also advises a number of entities in relation to engagements with the NHS, including the provision of operational services and regulatory matters. The client base includes healthcare providers, medical products manufacturers and organisations establishing medical cities.

Employment: the firm's lawyers advise clients on the full range of UK and EU employment issues, including wrongful and unfair dismissal, executive severance, confidentiality and restrictive covenants, employee fraud, discrimination, union recognition and work councils, industrial disputes, breaches of fiduciary duty, corporate governance, TUPE, pensions and employment, employee benefits and data protection aspects of acquisitions.

Energy: the energy group is a dedicated team of corporate and finance lawyers with a strong sector focus on energy and related areas such as natural resources and commodities. The integrated energy team in London advises on oil and gas, utilities, renewables, mining and natural resources, and represents a variety of clients.

Finance: the firm's lawyers advise clients in the banking and financial services sectors on secured and unsecured lending, syndicated and bilateral loans, acquisition and venture capital finance, asset and project finance, derivatives and other treasury products, funds, debt capital markets and restructurings.

International dispute resolution: the firm'€™s lawyers advise on international commercial arbitration disputes, complex, high-value litigation proceedings before senior courts of England, expert determination and dispute review board proceedings and complex international commercial arbitration disputes under the ICC, UNCITRAL, ICSID, SIAC, HKIAC, SCMA, GAFTA, CIETAC, DIFC, and LCIA rules.

Restructuring/insolvency: the firm'€™s lawyers advise on restructuring, insolvency, distressed debt trading, distressed M&A, all aspects of restructurings/business rescue, cross-border bankruptcy and insolvency, including the application of the European Insolvency Regulation and the UNCITRAL model law.

Tax: the firm provides multi-disciplinary service on all UK and international tax issues concerning corporate and commercial business matters, including mergers, acquisitions, spinoffs, flotations, corporate structuring, asset and structured finance, treasury management, cross-border transactions, transfer pricing and mediation.
