Jen Carlson is a Corporate & Securities partner in Mayer Brown's Palo Alto office. Her practice focuses on capital markets, mergers and acquisitions, and general corporate matters. She represents companies, investors, and underwriters in a wide variety of capital markets and finance transactions, including initial public, follow-on, and secondary equity offerings; investment grade, high yield, and convertible debt offerings; venture capital investments; and liability management transactions. Jen also represents buyers and sellers in private and public mergers and acquisitions, tender offers, private equity investments, and other strategic transactions. In addition to her transactional practice, Jen counsels companies regarding securities law compliance, stock exchange listing requirements, fiduciary duties, corporate governance, and other matters. Jen represents publicly-traded and private start-up companies, as well as the institutions and individuals that finance them, across a wide range of industries, including Life Sciences; Energy; Technology, Media, and Telecommunications; Retail; Hospitality and Leisure; Insurance; and Financial Services.

Mayer Brown’s comprehensive national group regularly advises corporate issuers and most major underwriters on debt capital markets transactions. Edward Best heads the group from Chicago and acted for the underwriters on several high-profile offerings over the past year, including advising Morgan Stanley on Kellogg’s €600m notes issuance. On the issuer side, Chicago-based Michael Hermsen assisted Prologis with its £500m notes offering, while Palo Alto-based Jennifer Carlson advised Plastipak Holdings on a $500m notes offering. The group has also recently undertaken work for AGT Food and Ingredients, Canada Pension Plan Investment Board and Halcón Resources. Chicago-based David Schuette is also recommended. The firm hired a senior capital markets team from Morrison & Foerster LLP in 2018, which included new global practice co-head Anna Pinedo and Jerry Marlatt, as well as tax specialists Thomas Humphreys and Remmelt Reigersman - all join the New York office, except Reigersman who joins in Palo Alto.

Mayer Brown’s high-yield debt practice, which is led out of Chicago by Edward Best, has a strong emphasis on issuer representations but also has significant underwriter-side experience. Houston’s William Heller is a key contact for energy-related securities matters and recently assisted Halcón Resources with its $850m notes offering. Palo Alto-based Jennifer Carlson advised Plastipak Holdings on its $500m notes issuance. Among its manager side work, the firm acted for an underwriter on Cydsa’s $330m offering of senior notes. John Berkery and Houston’s Harry Beaudry are also noted. In 2018, the firm hired a new capital markets team from Morrison & Foerster LLP, which included new global department co-head Anna Pinedo, and Jerry Marlatt as well as tax specialists Thomas Humphreys and¬ Palo Alto-based Remmelt Reigersman.
