Larry Hamilton is a partner in Mayer Brown's Corporate & Securities practice and Insurance Industry Group in Chicago. He focuses his practice on mergers, acquisitions and regulatory compliance of insurance companies and investment companies, both in the United States and in offshore markets. In addition, he regularly advises clients in connection with reserve financings, insurance-linked securities, pension de-risking transactions and public and private offerings of equity, fixed-income and hybrid securities. He also advises insurance companies and insurance agencies on regulatory issues associated with e-commerce, cybersecurity and business process outsourcing, and is a member of Mayer Brown’s Cybersecurity & Data Privacy practice. Larry has a 50-state insurance regulatory practice and has extensive experience negotiating directly with insurance regulators, helping clients overcome regulatory obstacles and gain approval for their proposed forms of business arrangements. Larry is also part of Mayer Brown’s Insurance and Capital Markets Convergence subgroup, which uses the combined talents of the firm’s insurance and structured finance practitioners to ensure that transactions take into account the customs and expectations of both markets. He regularly advises US and European financial institutions on the insurance regulatory issues associated with complex capital market and derivative structures, including techniques such as credit derivatives, “transformer” vehicles, synthetic CDO bonds, collateral trusts and special purpose reinsurance companies. Larry is ranked in Chambers USA (Illinois – Insurance: Transactional & Regulatory), which has described him as “great with the regulator and a very effective and good advocate for his client's cause.” He is also ranked for Insurance – Non-contentious in the Legal 500 and has also been listed in Illinois Super Lawyers for mergers and acquisitions since 2010. Mayer Brown handles international transactional mandates for global insurance players and is active in M&A, corporate finance and capital raising transactions in the insurance sector. The team is particularly adept at catastrophe bond transactions, advising insurers and reinsurers, banks and other financial institutions, insurance brokers, and investors such as private equity firms, hedge funds and dedicated funds. Department heads David Alberts and Stephen Rooney in New York led advice for The Hartford on its acquisition of Aetna’s US group life and disability business for $1.45bn. Alberts and Richard Spitzer represented Armour Group in the formation of a new insurance fund for run-off insurance investments in collaboration with Credit Suisse Asset Management.
