Position

Joshua N. Holian is a partner in the San Francisco office of Latham & Watkins and a member of the firm's Litigation & Trial Department. He concentrates on federal and state antitrust and trade regulation issues. Mr. Holian represents clients across a range of industries in M&A transactions to secure the required antitrust clearances from US, European and other antitrust regulatory authorities. He also counsels clients on distribution, resale and pricing issues.

Latham & Watkins LLP's Brussels office serves as a hub for the European competition practice, and its team is a regular fixture in industry-shaping mergers, as well as reputationally-sensitive antitrust investigations and litigation. In 2017, Sven Völcker, Michael Esser and others assisted Lufthansa with obtaining EU clearance of its acquisition of a substantial part of Air Berlin’s business. In addition, Joshua Holian and Luca Crocco were part of the international group that acted for Broadcom on the global merger control aspects of its acquisition of Brocade Communications Systems for $5.9bn.  On the behavioural side, in a matter involving the interface between EU competition law and digital goods/online platforms, Lars Kjølbye is leading the advice to Valve Software on the EC's investigation into alleged geo-blocking practices by video games publishers. Matteo Bay and Javier Ruiz Calzado are also recommended. Adrien Giraud joined from Willkie Farr & Gallagher LLP.

United States: Antitrust

Latham & Watkins LLP’s US team, which includes global co-chairs Amanda Reeves and San Francisco-based Christopher Yates, is highly active in national and global cartel matters. A group including Marguerite Sullivan, New York-based Lawrence Buterman, Michael Egge and San Francisco-based Daniel Wall defended Sumitomo against global antitrust investigations and related civil litigation connected with alleged anti-competitive practices in the auto parts industry. Niall Lynch in San Francisco and New York-based Jeff Hammel are the lead advisers to Omnicom in the DOJ’s ongoing bid rigging grand jury investigation, which is part of a wider criminal antitrust investigation into the advertising agency market. In another matter, Lynch and associate Meaghan Thomas-Kennedy represented StarKist in an investigation into alleged price-fixing in the packaged tuna industry. In 2017, Joshua Holian transferred from the San Francisco office to the Brussels office. Christopher Campbell in San Francisco made partner, while Allyson Maltas was promoted to counsel.

Merger control

Latham & Watkins LLP features prominently in headline deals that are subject to particularly intensive regulatory scrutiny. Its extensive industry coverage spans areas such as pharmaceuticals, media and entertainment, technology and telecoms, among others. Global co-chair Amanda Reeves, Michael Egge, counsel Farrell Malone and others are acting as global antitrust counsel to Agrium Inc in its $36bn merger of equals with Potash Corporation of Saskatchewan. In 2017, Reeves, Marcellus Williamson and counsel Alan Devlin were part of a cross-border team that assisted Integra LifeSciences with obtaining global clearances for its $1bn acquisition of Codman Neurosurgery from Johnson & Johnson.
