It is also very active in leniency applications and has participated in some of the market’s most complex, high-profile instructions. The firm collaborates with international firms such as Slaughter and May, Freshfields Bruckhaus Deringer LLP, Linklaters LLP, Baker Botts (UK) LLP and Allen & Overy LLP. Practice head Alejandro García advised Dell and EMC Corporation on clearance proceedings before the SIC in connection with their global merger, valued at approximately $67bn; the work required a carefully tailored approach due to the parties’ extensive horizontal and vertical overlaps in Colombia. The practice also acted as co-counsel to Kimberly-Clark in relation to a leniency application before the Colombian authorities related to cartel investigations. A team led by Sergio Michelsen advised Compañía de Petróleos de Chile (COPEC) on the Colombian element of its $747m acquisition of ExxonMobil’s operations in the Andean region (Ecuador, Peru and Colombia), including due diligence and special indemnities related to labour and environmental issues. In other highlights, Michelsen and José Francisco Mafla were the key names advising TransUnion Netherlands II on the acquisition of Central de Información Financiera (CIFIN), an institution heavily regulated under the data privacy and habeas data legislation; and a team led by Dario Laguado advised Catterton Partners on its $47m purchase, via its subsidiary Catherine Spain Holdings, of a significant minority interest (including governance rights) in Bodytech. Other significant clients include 3M Colombia, AIG, Biomax and Booking.com. Managing partner Carlos Umaña, Manuel Quinche and Álvaro Cala are all key members of the practice. The practice is also representing Buenavista Home Entertainment (Disney) in a $1.6m dispute with Magnum Video, which claims the existence of an agency agreement between the parties, a severance payment, and compensation for alleged wrongful termination of the contract.
