Types of work undertaken: Asset management: structuring and establishing all forms of collective investment schemes, including: hedge funds; private equity funds; long-only traditional equity and debt funds; emerging market and other alternative and specialist funds; advising funds and fund managers on appropriate structures from a tax and regulatory perspective (unit trusts, partnerships, investment trusts, open/closed-end, onshore/offshore, listed/unlisted); and marketing rules affecting international distribution of funds and other products and services. The firm deals with the drafting of all contractual documentation with service providers, including investment management agreements, fund administration, custodianship, prime and other brokerage documentation.

Banks/broker-dealers: drafting and advising on all forms of exchange-traded and OTC documentation and transactions, including ISDA and structured products. Also, drafting and advising on all forms of banking and security documentation and trade and other finance.

Regulatory: FSA authorisation, ongoing compliance with statutory, common law and regulatory requirements; customer and other contractual documentation; compliance procedures; settlement and custody issues; capital adequacy; market abuse; Chinese walls; insider dealing and money laundering.

Corporate: mergers and acquisitions (private and public) with a particular emphasis on cross-border transactions, fund raisings, placings, listings and public offers (including all forms of collective investment schemes and alternative asset management vehicles), company and partnerships (including LLPs) establishment, company secretarial assistance and general corporate advice, including shareholder, joint venture and similar agreements.

Real estate: commercial investment acquisitions and disposals, from single asset transactions to portfolios; commercial management and landlord and tenant; commercial development; complex structured financing arrangements and commercial property finance; real estate funds (debt and equity); joint ventures; commercial development.

The firm’s practice also provides a full tax service specialising in international tax planning in a number of areas, including mergers and acquisitions, equity and debt financing, private equity and real estate transactions. This complements the firm’s traditional strength, advising on the tax aspects of establishing funds and fund manager, brokerage and other businesses, and related transactions and tax matters.

    In Harrow LBC v Ayiku [2012] EWHC 1200 (Admin) Sales J held that the word “or” in the Council Tax (Exempt Dwellings) Order 1992, art 3 Class N, had a disjunctive meaning, therefore it was sufficient for the non-British spouse of a foreign student to satisfy one or other of the two conditions, namely being prevented from taking paid employment or being prevented from claiming benefits, in order to qualify as a “relevant person” who was exempted from liability to pay council tax.

    In R (Calver) v Adjudication Panel for Wales [2012] EWHC 1172 (Admin) Mr Calver was a member of Manorbier Community Council who successfully challenged the decision of the Panel to dismiss his appeal against a decision by Prembrokeshire County Council Standards Committee censuring him for a number of comments or blogs posted by him on a website he owned and controlled.

    The Judgment of Lindblom J in The Manydown Co Ltd v Basingstoke and Deane BC [2012] EWHC 977 (Admin) repays attention. The Claimant sought to challenge by judicial review 2 decisions of the Council: (1) the Council’s refusal to reconsider its position on the development of a site that it owns (and is the subject matter of a Joint Development Partnership Agreement with the Claimant); and (2) a decision of the Council’s Cabinet approving a selection of sites for development which did not include this site.
