Jones Day

Jones Day's substantial Singapore team is building its standing in Chinese outbound acquisition finance, project finance and structured financings into India, Indonesia and Singapore, among other jurisdictions. The firm has an impressive client portfolio including Chinese banks, international multilateral agencies and development banks, funds and multinational corporate borrowers. The firm is also at the forefront of Chapter 11-style restructurings. It advised Standard Chartered on the restructuring of a term loan facility provided to a Singaporean shipping conglomerate, which was in Chapter 11 proceedings. Sushma Jobanputra  is an experienced banking and finance practitioner with an exceptional record in acquisition and leveraged finance. Bruce Schulberg has a strong background with Chinese lenders and state-owned enterprises (SOEs). Karthik Kumar  is known for his project finance capabilities, particularly in the renewable energy segment. Of counsel Vinay Kurien is also recommended for restructurings.

Jones Day primarily acts for issuers, and has a notable record in India and Indonesia, as well as a growing presence in the Philippines. Investment grade debt, high-yield bonds and equity issuances (including private placements are at the heart of the practice. The team advised Deutsche Equities India, ICIC Securities and IDFC Securities on the $111m offer for sale of equity shares of NLC India, the Indian state-owned mining and power generation company. Jeffrey Maddox leads the team and is an experienced figure in India equity deals. Of counsel Paul Kuo is noted for his Indonesia expertise.

Jones Day's team has experienced notable growth in outbound transactions into the US for Singapore and India-based clients, and is increasingly being recognised for its experience in private equity transactions, including leveraged buyouts and minority investments, and real estate private equity deals. The team represents a number of local and regional private equity houses; recent highlights include advising PAG, one of Asia's largest alternative asset management firms, on an investment from the Blackstone Strategic Capital Holdings Fund. It also represented Park Place Technologies on its acquisition of Axentel Technologies' businesses in Singapore, Malaysia, Hong Kong and the Philippines. China outbound transactions are also at the heart of the practice, thanks in part to the presence of Elizabeth Cole.  Dennis Barsky is a 'sophisticated lawyer' who is 'rated as one of the most technical practitioners out there'. Ben Witherall was promoted to of counsel and is noted for his M&A expertise. Darren Murphy transferred to Melbourne.

Jones Day has considerable bench strength in the Singapore office and has a particularly fine record in oil and gas M&A, as well as LNG to power projects in Bangladesh and Pakistan. Karthik Kumar is a leader in renewables and Alex Cull has an outstanding reputation in oil and gas transactions. Kumar led the team that advised BEXIMCO and Teesta Solar on its power purchase agreement with the Bangladesh Power Development Board to develop a 200MW solar power plant in Gaibandha, Bangladesh; this is the largest renewable energy project in Bangladesh. Darren Murphy has relocated to the firm's Melbourne office.

At Jones Day, practice head Dennis Barsky has considerable experience advising sponsors and investors on the formation of private equity, real estate and hedge funds and counts Asia-based real estate fund managers and investors among his clients. Ben Witherall, who was recently promoted to counsel, is another key contact. In recent work, the team assisted the alternative asset management firm PAG with an investment from the Blackstone Strategic Capital Holdings Fund. It also advised Asia Capital Real Estate on the formation of Asia Capital Real Estate Fund 3, which was established to invest in distressed residential properties in the United States. Carolyn McNabb has left the practice to return to New Zealand.

It advised the lenders on the proposed limited recourse debt financing for Singapore’s fourth desalination plant located in Marina East. James Harris is immensely experienced, most notably in PPP projects across the region. Julien Reidy has a strong track record in energy and transport projects, and Karthik Kumar has made a particular impression in renewable energy projects in South Asia. Bruce Schulberg continues to advise a range of Chinese state-owned enterprises (SOEs), banks and ECAs on the financing of projects in Southeast Asia. Alex Cull is the key name in oil and gas.

  • US rules regarding offshore accounts

    The Hiring Incentives to Restore Employment Act 2010, enacted on 18 March 2010, imposes a new US withholding tax and reporting regime, known as the Foreign Account Tax Compliance Act (FATCA). The FATCA regime applies generally to payments made after 31 December 2012, except on obligations (to be defined in future guidance) outstanding on 18 March 2012. Substantial effort is required by foreign entities to bring their worldwide operations and policies into compliance with the FATCA rules as of the effective date.
