Haynes and Boone, L.L.P. has a long history with Latin America, particularly Mexico where it has had a Mexico City office since 1994. The Houston office has a large team of Latin America experts, which cover inbound and outbound Mexico transactions, notably in the energy, infrastructure, water, tech and healthcare fields. The team is increasingly active in renewables and nearshored manufacturing facilities in northern Mexico - including investments in industrial parks, transport and logistics. Although Mexico is the office’s primary Latin American jurisdiction, it is also active in Chile, Brazil, Argentina, Colombia and Central America. Despite a more challenging investment climate in Mexico, the firm continues to advise oil and gas majors on their long-term interests in the jurisdiction, along with additional growth in solar power projects. The firm is best known for work with mid-market clients and family-owned businesses, along with start-ups and some public companies. Ricardo Garcia-Moreno and George Gonzalez are leaders in Mexico transactions, along with Brad Richards who also has a strong record in Mexico. Odean Volker provides further expertise in disputes involving Mexican businesses with interests in the US and elsewhere, along with white-collar matters. The firm’s Mexico City office has existed since 1994, while its Houston and Dallas offices house a large number of Latin America specialists. The firm has fine record in energy transactions, with a growing emphasis on renewables, along with infrastructure, water, technology and healthcare. It has experienced further growth in industrial parks, logistics, and manufacturing investment as part of the trend for nearshoring manufacturing and supply chains in northern Mexico. The M&A Advisor recognized two of our 2018 matters as deals of the year:

  • Materials Deal of the Year: A multi-office team of lawyers led by Partner George Y. Gonzalez represented equity owners of Corporación POK, S.A. de C.V. (POK) in the sale of stock to Nucor Corporation (Nucor). Founded in 1894, POK is a Mexican industrial and oilfield services precision casting foundry that is headquartered in Guadalajara, Jalisco, Mexico. It has more than 425 employees at its Guadalajara foundry and was owned and managed by members of the 3rd and 5th generation of the founder’s family.
  • Cross-Border Deal of the Year Award in the “Over $1 billion” category: A Haynes and Boone team led by Partner Ricardo Garcia-Moreno represented Royal Dutch Shell plc and certain affiliates in the sale of its downstream business in Argentina to Raízen Combustiveis S.A. in a transaction valued at $1.3bn. The sale included the Buenos Aires Refinery, around 645 retail stations, liquefied petroleum gas, marine fuels, aviation fuels, bitumen, chemicals and lubricants businesses, as well as supply and distribution activities in the country. The businesses acquired by Raízen will continue their relationships with affiliates of Shell through various commercial agreements negotiated in connection with such transactions with an estimated value of US$300m.
