In a recent highlight, the team acted as local counsel to I Squared Capital on the Guatemalan aspects of its $1.2bn acquisition of Duke Energy’s electricity generation assets in Latin America, including conducting due diligence, risk assessments and an analysis of the necessary regulatory approvals. It is also providing corporate and regulatory advice to a client in the media sector on its operations in Guatemala. The team is led by Rodolfo AlegrĂ­a, who is experienced at advising on complex M&A matters, particularly in the energy and oil industries. Senior associate MĂ©lida Pineda is also noted; she regularly assists with the drafting of share purchase and shareholders’ agreements and asset acquisitions.

The team is currently representing a public sector client in constitutional and administrative actions regarding the denial of its state licence; founding partner Alfonso Carrillo has also been leading a series of pro bono cases defending the rule of law in Guatemala. The team, led by Luis Mazariegos, has also been active in the transport sector, representing a client in cross-border litigation over damages derived from a transportation contract. The civil litigation practice includes finance-sector creditor rights enforcement through loan collection proceedings and the team is providing ongoing advice to PricewaterhouseCoopers, as custodian of Bancafe International Bank, on the recovery of its $21m loan portfolio. Founding partner Francisco ChĂĄvez also remains a key figure.

Carrillo & Asociados’s strength lies in energy-related dispute resolution, including litigation and arbitration. It has recently been involved in three arbitrations (under ICC rules) related to conflicts in the energy sector, ranging from the default of an EPC agreement to a dispute regarding the payment of Guatemalan energy market transmission charges under a power purchase agreement. The firm also assisted reinsurers with the analysis of major insurance claims related to the energy sector and – in a transactional highlight – recently advised I Square Capital on its acquisition of Duke Energy electricity generation assets in Guatemala and other countries in Latin America. Together with the constitutional litigation team, the practice assisted a client challenge an agreement between Guatemala and a foreign government for a drilling moratorium in border areas. The team also has in the past advised on the acquisition of land for energy projects and on compliance with regulatory requirements related to communities based in project sites. Rodolfo Alegría is recognised as ‘very experienced in this field’; he also has project finance expertise.

  • Confidentiality Under Renewed Focus

    The UAE federal government has recently issued a raft of important legislation, addressing and in many ways updating areas of law that are key to businesses in the jurisdiction. Amongst this legislation is Federal Decree-Law 14 of 2018 concerning the central bank and the organisation of financial institutions and activities (the New Banking Law ) and Federal Decree-Law 20 of 2018 concerning anti-money laundering and anti-terrorism financing (the New AML Law ). Both the New Banking Law and the New AML Law repeal and replace the previous legislation on their respective subjects. Importantly, the New Banking Law and the New AML Law have together enhanced the protection afforded to confidential information under UAE law, in particular where financial and legal service providers and their customers and clients are concerned. 
  • Israel Chapter in The Virtual Currency Regulation Review

    Earlier this year, the Israel Tax Authority (ITA) issued two circulars, one on the taxation of digital tokens and the second addressing the taxation of utility tokens in initial coin offerings (ICOs). Additionally, in March, the Israel Securities Authority (ISA) released a detailed interim report by the Committee for the Regulation of Public Offerings of Decentralized Cryptocurrency Coins (Report) (with a follow-up report due to come out around October 2018). Moreover, it is expected that before the end of 2018, legislation will come into force that for the first time will see Israeli primary legislation define virtual currencies as financial assets and mandate licensing for related services, as is later discussed in detail.
