Career

Larry Chu is a partner in Goodwin Procter’s Technology Companies, M&A/Corporate Governance and Private Equity Practices, a member of the firm’s FinTech Practice and leads the firm’s Technology M&A Practice on the West Coast. He represents domestic and non-U.S. public and private companies in mergers and acquisitions, dispositions and corporate finance transactions in the technology, Internet, digital media, financial technology, e-commerce and biotech industries, and also has represented clients in the consumer products (including CPG), beverages, apparel, telecommunications, oil and gas, industrial products and manufacturing, banking and financial services, and asset management sectors. In addition, he represents private equity funds in connection with the acquisition of, and investment in, certain public and private portfolio companies, as well as banking clients in connection with their roles as financial advisor and dealer/manager on M&A transactions.

Goodwin advises both buyers and sellers in transactions, including asset deals, stock deals, mergers, joint ventures and bankruptcy deals, and has longstanding experience in the technology, life sciences, business services, real estate, financial services and healthcare sectors. The firm also has a robust private equity practice. It advised EPR Properties on its acquisition of CNL Lifestyle Properties, together with co-buyer Och-Ziff Real Estate; and acted for biotechnology company Delinia in its sale to Celgene Corporation, which planned to expand its inflammation and immunology pipeline with Delinia’s preclinical-stage regulatory T cell therapy. Large deal matters included acting for biopharmaceutical services company PAREXEL International in its sale to Pamplona Capital Management; and assisting Albany Molecular Research with its sale to affiliates of The Carlyle Group and GTCR. Boston-based Mark Bettencourt advises private and public companies in the software, internet, digital media, robotics, communications, and networking equipment and information services industries; and Stuart Cable currently serves as chair of the M&A and corporate finance practices for the firm’s technology and life science business units. Goodwin has extensive experience structuring domestic and cross-border commercial transactions involving technology and IP assets. The practice’s scope of work includes standalone technology transfer transactions and other strategic technology transactions arising from private equity and venture capital investments, public offerings and private financing, as well as M&A deals, joint ventures and strategic alliances. The team acted for Trooly, a background-check start-up, in its sale to Airbnb; and assisted Sencha, which develops and licenses software frameworks and tools, with its sale to Idera. Equity capital market highlights included advising the underwriting syndicate on the $3.9bn IPO of camera company Snap, the creator of the Snapchat app; and acting for JP Morgan Securities, Goldman, Sachs & Co and Morgan Stanley & Co as lead book-running managers in the IPO of global hotel search platform trivago, which raised approximately $330m. John Egan, William Schnoor, Stuart Cable and Stephen Charkoudian are notable Boston contacts; and in Silicon Valley, Lawrence Chu, who leads the firm’s West Coast technology M&A practice, Michael Russell, Anthony McCusker and William Growney Jr are also highly rated.
