The corporate tax department at Shearman & Sterling LLP is regularly involved in the firm’s largest M&A, securities and private equity deals. Practice head Simon Letherman acted for a consortium of underwriters, led by HSBC Securities (USA), in connection with HSBC Holdings plc’s $7bn issuance of fixed and floating rate senior unsecured notes. In the M&A space, he advised Liberty Global on the deal structuring and subsequent share listing relating to its acquisition of Cable & Wireless Communications. Letherman also assisted General Electric Capital Corporation with the UK and Indian tax aspects of its $300m sale of GE Capital Services India and GE Money Financial Services to Plutus Financials. Other notable clients include Société Générale, Intercontinental Exchange and Qatar Investment Authority. Sarah Priestley joined Goodwin in 2016.

Goodwin’s tax team is driven by ‘a hands-on, practical’ approach and has enjoyed an expansion of the firm’s London-capabilities, which has exposed it to a broader range of transactional work. Sarah Priestley joined the firm in 2017 from Shearman & Sterling LLP and now heads the London tax team. Ben Eaton has ‘outstanding knowledge of foreign tax systems and is able to use that knowledge to provide multijurisdictional structuring advice’. He has extensive experience in real estate and private equity transactions and is instructed by clients such as Deutsche Asset Management and TA Associates. Laura Charkin advised the UK Green Investment Bank on multiple closings by the UK Green Investment Bank Offshore Wind Fund.

Goodwin’s expertise in private equity transactions is complemented by related funds, finance, tax and regulatory capabilities. Active in both the mid-cap and large-cap space, the firm handles LBOs, recapitalisations, portfolio company deals and private equity real estate transactions. The group was notably bolstered in 2016 by the addition of Mark Soundy and tax specialist Sarah Priestley, both of whom joined from Shearman & Sterling LLP. Recently promoted partner Gemma Roberts, Richard Lever and others acted for Tracscare (backed by GSquare) on its bolt-on acquisition of Brookdale Care. In another highlight, Lever led the advice to Amplify Snack Brands on its $392m acquisition of UK-headquartered snacks manufacturer Tyrrells from Investcorp.

Corporate restructuring and insolvency

Hogan Lovells International LLP’s six-partner team provides ‘quality advice in a timely manner based on experience and legal analysis’ for a largely creditor facing client base that includes senior lenders and co-ordination committees, agents and security agents, bond trustees, debt purchasers and pension trustees. The ‘very commercial’ Tom Astle has a burgeoning reputation in the market; he has been advising Barclays Bank as one of the lenders to troubled print business Polestar Printing on the rescue finance, prepack and its subsequent insolvency. Deborah Gregory’s broad practice encompasses distressed M&A work; she recently advised Goodwin on its acquisition of certain assets of King & Wood Mallesons LLP six days before the law firm’s entry into administration. The ‘absolutely brilliantPaul McLoughlin has successfully cultivated a strong distressed loan portfolio offering and is a key member of the team that also includes the ‘superbStephen Foster and counsel Alex Kay, whose arrival in June 2016 from Cadwalader, Wickersham & Taft LLP allows the firm to broaden its capabilities in high yield bond restructuring. Other clients include Lloyds, Mizuho, Santander and Bank of America Merrill Lynch.

Goodwin grew a significant investment fund practice in 2016 following the recruitment of the bulk of the team from the collapsed King & Wood Mallesons (KWM). The firm handles significant fundraises for a range of managers, covering asset classes from funds-of-funds and credit funds through to social impact research funds. Ed Hall advised Antin Infrastructure Partners on a €3.6bn fund investing in European infrastructure projects. Patrick Deasy and Shawn D’Aguiar acted for The Abraaj Group on its $1bn Health Growth Markets Fund. Ajay Pathak advised a number of ethical and social funds. Michael Halford, who led the KWM team, handles work regarding multi-currency funds. Other clients include Macquarie, which Hall and Halford advised on an oversubscribed €4bn infrastructure fund, and UBS.

The firm handles a range of fund management, covering a mix of asset classes and geographic locations, in both open and closed-ended funds, as well as real estate debt funds. The ‘outstanding’ Samantha Lake Coghlan acted for Nordic Real Estate Partners on NREP Nordic Strategies Fund II, which will invest up to €1.7bn in logistics, retail and residential property in the Nordic region. Gregory Barclay and David Evans handle billion-euro real estate debt fund work. Michael Halford and Patrick Desay, whose practices include private equity real estate, joined the firm from King & Wood Mallesons. Other clients include Ares Management and M7 Real Estate.

Goodwin is best known for its investment work on behalf of clients such as Ares Management and Credit Suisse Asset Management, and in 2016 the team represented Deutsche Asset Management on its £370m acquisition and forward funding of the development of a new headquarters for the Financial Conduct Authority (FCA) in Stratford. Head of practice Joe Conder and counsel Martin Smith have ‘excellent expertise at driving deals forward’ and in one highlight assisted Kumpulan Wang Persaraan with the £270m sale of 88 Wood Street to The Shaw Foundation. The team also impresses in the hotel and leisure sector, further developing its offering in this area with the hires of the ‘efficient and commercially minded’ Gretchen Scott from King & Wood Mallesons, and Matthew Pohlman, who joined from an in-house role. Pohlman and Conder advised Four Seasons Hotels & Resorts on the management agreement for a new luxury hotel at Ten Trinity Square.

It frequently advises clients on development finance, acquisition finance and refinancing, and handles financings that involve portfolios of real estate located across Europe. Group head Paul Lyons advised Meadow Partners on the £16m refinancing of a residential site in London’s Docklands, and on obtaining a £33m facility to develop a commercial site in the same area. Lyons also acted for GreenOak Real Estate on its £10m refinancing of a commercial site in East London, and on its £32m senior loan to Halamar to develop a central London mixed-use site.
