Position

Mr. Alter focuses on federal income taxation, with particular emphasis on the structuring and negotiation of taxable and tax-free acquisitions and dispositions, reorganizations and spin-offs, as well as tax planning for debt and equity securities offerings and financings. Mr. Alter's significant representations include Knight Transportation, Inc. in its merger with Swift Transportation Company; Thomson Reuters in its acquisition of Clarient Global LLC and Avox Limited; Lockheed Martin in its acquisition of Sikorsky Aircraft; Coach in its acquisitions of Kate Spade & Company and Stuart Weitzman Holdings; Dean & DeLuca in its acquisition by Pace Development; Merck & Co. in its sale of its consumer care business, its divestiture of Sirna Therapeutics and its €1b offering of Euro-denominated notes; and Media General in its acquisition of LIN Media, its merger with New Young Broadcasting and its merger with Nexstar Broadcasting Group.

The practice is best known for its hedge and equity fund formation, asset management, public M&A and financing tax work. David Shapiro assists BlackRock Investment Management with the activities of its Global Renewable Power Fund II, including investments into renewable energy projects in OECD member countries. Another recent highlight was advising on the sale of client Humana to Aetna for $37bn.
