Position

Ms. Zelenka is a corporate partner, resident in the Firm’s Washington, DC office. Her practice focuses on asset management work, concentrating on the structuring and offering of private equity funds and other alternative investment structures. She advises on all aspects of fund formation and ongoing operations of funds and their managers. In addition, she advises clients on carried interest, co-investment and other incentive arrangements; fund restructurings/ reorganizations, including secondaries; LP representations; placement agent representations and management spin-outs.

Her broad range of fund experience includes private equity/buyout, credit, senior loan and mezzanine, private distressed, real estate, energy/real assets, infrastructure, regional-focused,‎ funds-of-funds (primary, secondary, and industry-focused), industry-focused, employee and others.

She joined the firm in 2004.

Ms. Zelenka serves as one of the chairs of the Firm’s women initiative, The Women’s Forum, is a partner mentor for first year corporate and tax associates and has been appointed to the Firm’s Nominating Committee and Special Counsel Committee. She is a member of the Leadership Advisory Committee of the National Women’s Law Caucus and previously served on the Steering Committee for the American Lawyer’s New Partner Conference.

Education

Ms. Zelenka received her JD in 2004 from the University of Chicago Law School, and a BS in economics and a BS in environmental engineering in 2001 from Massachusetts Institute of Technology.

Kenneth Rosh (for many, one of the ‘top fund formation lawyers in the industry’) and ‘rising star’ Gerald Brown advised Bain Capital Private Equity, a cornerstone client, on forming Bain XII, which closed with commitments of $9.4bn. Rosh and Rebecca Neuschatz Zelenka, who is based in Washington DC, also advised Bain Capital Credit on forming a life sciences fund. Richard Ansbacher acts for Permira and Permira Debt Managers, advising them on a €7.5bn buyout fund and a €1.7bn debt fund respectively. Jeremy Berry, who is active for clients such as StepStone Group, joined from Akin Gump Strauss Hauer & Feld LLP. The team was also bolstered by the recruitment of special counsel Garret Filler and senior counsel John Liftin from Cadwalader, Wickersham & Taft LLP and D E Shaw’s in-house team respectively.
