Position
General corporate lawyer with extensive experience of advising on public and private mergers and acquisitions, joint ventures, and securities offerings, in a wide range of sectors and jurisdictions. Principal area of focus is advising retail financial institutions (including banks, building societies, consumer finance providers and payment systems operators), and other market participants (including private equity houses) on corporate and commercial transactions in the retail finance/consumer finance sectors. Principal recent transactions include advising: Goldman Sachs on its investment in AppSense Holdings, the UK-based software business; the management of Equity Trust, the leading international trust and fiduciary services business, on various matters including on a proposed secondary buyout and on the acquisition of Equity Trust by Doughty Hanson; Barclays on various matters, including on its major joint ventures with Argos, with House of Fraser, and with Sky; Royal London Mutual Insurance Society on its involvement in the €4.9bn contested hostile offer by Pearl Assurance for Resolution; Bradford & Bingley on various matters, including on the proposed acquisition of certain assets of Northern Rock; LINK, the operator of the ‘LINK’ cash machine system, on its merger with Voca; the Ministry of Defence on the public/private partnership in relation to the Defence Evaluation and Research Agency (DERA), including on the £1.3bn IPO of QinetiQ; and Gottex Fund Management Holdings, the alternative asset management group, on its €1.9bn international offering.
Career
Called to the Bar 1993; admitted as a solicitor 2003.
