Joseph D. Zavaglia is a partner in Cravath’s Corporate Department. He is a generalist corporate lawyer who advises financial institutions and corporate clients in a wide variety of matters, including securities offerings, syndicated loan transactions and mergers and acquisitions.

Mr. Zavaglia has also represented private and public companies in connection with mergers and acquisitions matters, takeover defense and unsolicited transactions.


Mr. Zavaglia joined Cravath in 2004 and became a partner in 2012.

Mr. Zavaglia has been recognized for his work in the capital markets arena by The Legal 500 in 2013, 2014, 2015, 2016 and 2017. In 2017, he was named a “Next Generation Lawyer” in both the Commercial Lending and Capital Markets: High-Yield Debt Offerings categories by The Legal 500. Mr. Zavaglia was named by IFLR1000 as a Market Leader in 2018, a Leading Lawyer in 2017 and a Rising Star in 2014, 2015 and 2016. He was also named a Metro New York Rising Star by Super Lawyers in each of 2012, 2013, 2014, 2015, 2016 and 2017.


Mr. Zavaglia received a B.B.A. cum laude from the College of Insurance in 2001, and a J.D. summa cum laude from Brooklyn Law School in 2004. At Brooklyn Law School, Mr. Zavaglia was the valedictorian of his graduating class and a member of the Brooklyn Law Review.

Its underwriter-side work is particularly high-profile, with North America capital markets head Andrew Pitts recently advising the underwriters on MPLX LP’s $2.2bn high-yield notes offering and Stephen Burns and ‘the very talentedJohnny Skumpija acting for the initial purchasers in a $1bn high-yield notes offering by Chesapeake Energy. Among its issuer highlights, William Fogg assisted CyrusOne and CyrusOne Finance with two notes offerings totaling $1.2bn and Joseph Zavaglia advised Olin Corporation on its $500m notes offering. Craig Arcella and William Whelan are also specialists in the space.

Cravath, Swaine & Moore LLP has a first-class commercial lending team where the partners are equally comfortable representing lenders as well as corporate borrowers. The retirement of James Cooper is a major changing of the guard, not just for the firm, but for the industry as a whole. Nevertheless, the team has enough quality in its ranks to make up for it, including corporate managing partner Jed Zobitz, banking head Michael Goldman, Tatiana Lapushchik, Stephen Kessing, Joseph Zavaglia, and Paul Zumbro. On the lender side, the firm advised JPMorgan Chase on the $2bn-plus financing of American Axle & Manufacturing’s acquisition of Metaldyne Performance Group. The firm also represented aircraft leasing company AerCap on a $3.745bn four-year revolving credit facility arranged by Citibank.
