Position

Vince Guglielmotti provides tax planning services for corporations, pass-through entities, REITs, REMICs, and individuals. His practice includes advising clients on the acquisition and sale of domestic and international entities as well as assisting debtors, creditors, and investors to restructure, acquire, and sell financially troubled entities inside and outside of Chapter 11 bankruptcy proceedings. Vince also represents clients in tax controversy matters before the Internal Revenue Service and the U.S. Tax Court. In addition, Vince represents clients in connection with various employee benefits and executive compensation matters. Vince’s employee benefits practice involves counseling clients on multiemployer pension plan withdrawal liability as well as associated control group issues. His focus on nonqualified executive compensation includes drafting and structuring equity incentive plans, change of control agreements, executive employment contracts and severance agreements and advising clients on the tax issues related to such arrangements. As part of Brown Rudnick’s Family Office team, Vince is also part of collaborative, cross-disciplinary initiatives assisting clients in this area.

Brown Rudnick LLP's New York-based tax practice advises on tax-efficient restructurings, debt workouts and bankruptcy matters, corporate reorganizations an M&A deals. Key partner Vincent Guglielmotti assisted Self-Storage Capital Partners with the transfer taxes and other tax matters in relation to the acquisition and financing of a storage facilities portfolio worth approximately $50m. Also recommended are Nicole Bouchard, who assisted Hologic with various securities offerings, and counsel Barbara Kelly, who is recommended for financing deals, recapitalizations, reorganizations and partnership structuring.
