Robin Miles represents chemical and energy companies, banks, investment banks and investors in senior and subordinated debt financings, acquisition and project financings, structured financings, leveraged buyouts, securitizations, structured commodity arrangements, maritime financings, trade financings, restructurings and DIP financings. Recently, Robin represented Venoco, Inc., an exploration and production company, in the issuance of its $175 million of first lien notes, $75 million secured term loan, and exchange of $194 million in principal and interest of its unsecured notes for $150 million of second lien notes. M&A Advisor named the transactions its 2015 “Deal of the Year,” out-of-court restructuring greater than $500 million. From the lead arranger side, he was lead counsel in 2015 for a major U.S. money center bank as lead arranger in multiple credit facilities; for MUFG Union Bank, N.A. in its 2014 and 2015 $1.75 billion investment grade revolving credit facility for Continental Resources, Inc.; and for Société Générale in its 2014 and 2015 secured $2.9 billion borrowing base facility for Mercuria Energy Trading.

Based mainly in Houston and New York, Bracewell LLP is especially recommended for its excellent advice to borrowers and lenders in the downstream, mid-stream and upstream energy industry. On the lender side, the firm has a good relationship with Wells Fargo Bank, which it advised on a $3bn unsecured revolving credit facility to National Oilwell Varco. Another highlight was advising JPMorgan Chase on a $1bn facility to Caerus Operating. On the borrower front it advised Enterprise Products Operating on two separate revolving facilities with a combined value of $5.5bn. Beyond the energy sector, the firm also advised the NBA’s San Antonio Spurs on a $200m financing. Dewey Gonsoulin heads the highly rated team, which boasts key individuals, including Robin Miles, Rebecca Keep and the recently promoted Jeris Brunette. In Houston, Stephanie Song, Kate Day, Heather Brown, Dale Smith, and Mark Holmes are all recommended.

Energy is a key practice area for Bracewell LLP and the team continued to be active for sponsors and lenders on a variety of projects across the US. High-value mandates included New York-based Ron Erlichman advising Advanced Power Energy Holdings on the financing of the $1.3bn South Field Energy facility in Ohio, and New York-based Jeris Brunette assisting Kinder Morgan with the back-leverage financing of a 49% interest in Elba Liquefaction Company. In another major deal, Houston-based Thomas Tomlinson and Robin Miles acted for Yuhuang Chemical on a $800m loan facility for the construction of a methanol plant in Louisiana. The practice is led from Houston by Alan Rafte and Jessica Adkins; Adkins focuses on the renewable energy sector, where her work included acting (with Erlichman) for lenders to a wind project being developed by Macquarie Capital in Texas, and assisting a hedge provider with a hedging agreement with Goldwind Americas for the 160MW Rattlesnake wind power project in Texas. The team was further strengthened by the arrival of New York-based duo Nicolai Sarad and Fernando Rodriguez Marin in March 2018 from Pillsbury Winthrop Shaw Pittman, LLP.
