Scott C. Sanders provides legal counsel in employee benefits and represents publicly traded and privately owned companies in the design, implementation and administration of employee benefit plans and executive compensation arrangements. He also handles the analysis and structuring of the employee benefit programs in corporate reorganizations, acquisitions, mergers and divestitures. Scott has implemented numerous qualified and nonqualified deferred compensation plans, stock option plans, executive compensation arrangements, cafeteria plans, severance pay plans and other types of employee benefit plans. His practice involves advising clients on the federal tax and labor law requirements that pertain to employee benefit plans. Scott represents clients on tax and benefit matters before the Internal Revenue Service and the Department of Labor. He works in close cooperation with Bracewell’s corporate, labor and employment, and trial attorneys, coordinating client counsel in diverse matters that involve their companies’ employee benefit plans. Scott is a licensed certified public accountant.

Bracewell LLP services a client base comprising leading players in the energy and natural resources arenas and recently assisted Great Plains Energy with the executive compensation and employee benefits aspects of its high-profile amended merger agreement with Westar under the leadership of practice head Bruce Jocz. Elsewhere, Pembina appointed a team headed by Scott Sanders to oversee its acquisition of Veresen, while Hydro One sought the group’s advice on its takeover of Avista. Senior counsel Allison Perry is also a key contact and represented a board of directors in a merger transaction. Other notable clients include HPS Investment Partners and Parsley Energy. In December 2018, Matthew Grunert joined from Hunton Andrews Kurth LLP. All mentioned attorneys are based in Houston.
