Position

Bruce Jocz advises public and privately held corporations in the design and implementation of employee benefit programs, including qualified and non-qualified plans and executive compensation programs. Brue structures the employee benefit aspects of corporate reorganizations, acquisitions, mergers and divestitures to comply with the Employee Retirement Income Security Act (ERISA) and to maximize income tax benefits. Regarding qualified plans, Bruce counsels clients in all aspects of designing qualified defined contribution and defined benefit plans, and has experience with employee stock ownership plans (ESOPs). He provides daily counsel to plan administrators and trustees on distributions, filing, Qualified Domestic Relations Orders, and fiduciary duties in plan administration, reorganization and termination.

Bracewell LLP services a client base comprising leading players in the energy and natural resources arenas and recently assisted Great Plains Energy with the executive compensation and employee benefits aspects of its high-profile amended merger agreement with Westar under the leadership of practice head Bruce Jocz. Elsewhere, Pembina appointed a team headed by Scott Sanders to oversee its acquisition of Veresen, while Hydro One sought the group’s advice on its takeover of Avista. Senior counsel Allison Perry is also a key contact and represented a board of directors in a merger transaction. Other notable clients include HPS Investment Partners and Parsley Energy.
