Position

Mr. Toledano has occupied lead legal roles in relation to domestic and international private M&A transactions. He regularly advises corporate sponsors, investment banks and financial institutions, as well as a wide variety of other industry clients, including the private equity, consumer products, retail, health care and energy sectors. Mr. Toledano is proficient in the local and cross-border aspects of auction sales, group reorganizations, joint ventures and consortia issues. He is also seasoned in general corporate law and corporate governance matters. Representative Legal Matters: Acted for a consortium of real estate investors (RREEF/Area and Europa Capital) in the EUR1.2 billion sale and lease back of circa 1,000 assets owned by BBVA. Represented USP Hospitales (participated by Cinven) in its circa EUR500 million equity, debt restructuring and refinancing. Acted for Permira in the EUR685 million acquisition of Royal Ahold's food retail operations in Spain. Acted for Grupo Mahou-San Miguel in the circa EUR220 million acquisitions of the brewery companies Cervezas Alhambra and Cervezas Anaga. Acted for the PE funds Paul Capital, Rothschilds and various co-investors in their investments in the Spanish telecom operator ONO. Advised US PE fund ArcLight Capital in the acquisition of five electricity co-generation plants and in the disposal of a combined-cycle facility to a consortium of Spanish venture capital funds (Impala, Ahorro Corporación and Corpfin Capital).

Career

Manuel has over 15 years of experience in his area of practice. Prior to joining Baker & McKenzie, he worked for Clifford Chance and Freshfields Bruckhaus Deringer. Mr. Toledano has been a member of the Madrid Bar Association since 1995.

  • The New Turkish Code of Obligations: Important Changes for Leases of Residential & Business Premises

    For decades, the primary Turkish laws governing leases of residential and business premises have been the Law on Leasing Real Property dated May 27, 1955 (the “Lease Law”) and the Turkish Code of Obligations No. 818 dated April 22, 1926 (the “Obligations Code”). Both of these laws, however, will be repealed and replaced with the new Turkish Code of Obligations No. 6098 dated January 11, 2011 (the “New Obligations Code”), which will enter into force on July 7, 2012.
