Career

Jack represents clients in all aspects of real estate practice. He advises sellers, buyers, lessors, lessees and developers of commercial and recreational real estate of all types. He also counsels real estate developers in connection with office, multi-family, shopping center and industrial projects including extensive experience with negotiating documentation with Municipal Utility Districts, and assists land owners with agricultural tax planning matters. Jack also represents mortgage servicers and real estate lenders, including several major insurance companies, foundations, banks, and pension funds.

His practice includes representing developers of, and builders in, residential and mixed use subdivisions and sales and acquisitions of farm and ranch properties. Among specific projects, Jack headed the effort to acquire all the lots and houses and negotiated the release of the underlying mortgages for a very large subdivision (approx. 500 houses) in connection with environmental/tort litigation and development of another large master planned subdivision with ongoing mineral development activities involving negotiation of numerous Drill Site and Surface Waiver Agreements. He has also represented several lessees/users in connection with off-balance sheet lease financing of large headquarter facilities.

Jack has substantial experience in foreclosures of all types of commercial properties, including shopping centers, industrial complexes, condominiums, apartments and raw land. Among other foreclosure matters, he represented the FSLIC and the RTC in the takeover of one of the largest failed savings and loan associations in the country which resulted in hundreds of foreclosures in numerous counties in the State of Texas. 

Jack has achieved board certification by the Texas Board of Legal Specialization in the Real Estate-Commercial and Real Estate-Farm and Ranch areas. He is also a member of the firm's Legal Opinion Committee, and is an expert on Texas title insurance.

Andrews Kurth Kenyon LLP‚Äôs Texas-based practice is ‚Äėvery good for complex matters‚Äô and the team handles a broad range of product types, from sports stadia to corporate headquarters and international hotel chains. Retail and office leasing is a particular strength and the team is also experienced in handling lettings for major energy projects; for example, practice co-chair Jack Fields assisted Enterprise Products with a ground lease to a third party covering a 40-acre tract of land to be used for the construction of a new methanol plant. Other highlights in 2016 included practice co-chair Michael Boyd advising Pacific Life Insurance on a construction-to-permanent loan for a new multifamily project in Atlanta, and David Runnels acting for CBRE Global Investors in the acquisition of a mixed-use development in Dallas. In another significant acquisition, Chanse McLeod acted for ArcLight Capital Partners in the $217m purchase of 230 gasoline station/convenience store properties around the US. All attorneys named thus far are based in Houston, but the practice also has a presence in Dallas, where Adrian Doxey advised a major institutional investor on several substantial investments. The group experienced a number of partner departures in 2016, including Darrell Thomas to Orrick, Herrington & Sutcliffe LLP, and Chris Boehler to Concho Resources.

  • DOJ Makes the Pilot Program Permanent and Announces FCPA Corporate Enforcement Policy

    The US Department of Justice ("DOJ") had announced a pilot program [1] ("Pilot Program") on April 5, 2016, which created new mitigation opportunities for companies that (i) voluntarily self-disclosed, (ii) cooperated fully, and (iii) took timely and appropriate remedial actions in FCPA matters that fell within the Fraud Section's mandate. The Pilot Program was to remain in effect for 1 year, starting from the day of its announcement. On March 10, 2017, the Acting Assistant Attorney General, Kenneth A. Blanco, announced in a speech that the Pilot Program would continue in full force until the DOJ reached a final decision on whether to extend it, and what revisions, if any, should be made to it. [2] The evaluation period of the Pilot Program ended on November 29, 2017, when Deputy Attorney General Rod Rosenstein announced the new FCPA Enforcement Policy ("Policy"), which effectively makes the Pilot Program permanent with some revisions. According to Deputy Attorney General Rosenstein, the FCPA Unit received 30 voluntary disclosures during the time period that the Pilot Program was in force, as opposed to 18 voluntary disclosures that were received during the previous 18-month period. The Policy has been incorporated into the United States Attorneys' Manual in order to "be readily understood and easily applied by busy prosecutors" as opposed to being promulgated in memorandum format.
