Partner of the Corporate Finances practice, responsible for the Belo Horizonte unit. Rugani is specialist in subjects related to the capital markets (equity and debt transactions), mergers and acquisitions. His work is focused on structuring and implementing mergers and acquisitions (buy side or sell side, private placements, competitive bids and others) and capital markets’ transactions (equity and debt), both in the form of IPOs or follow-ons, primary and secondary, for equity transactions, or debentures, bonds, CRIs, and promissory notes and other securities for debt transactions. Has previous experience in the areas of knowledge of civil construction, machinery and equipment rental, electric energy, food, education, mining, steel, sanitation, transportation, logistics and finances.


Portuguese and English.


Admitted to the Brazilian Bar and member of International Bar Association (IBA).


Received his LL.B from Universidade Federal de Minas Gerais and master degree from University of California.

Machado Meyer Sendacz e Opice Advogados’ ‘highly competent’ group offers the full range of capital markets services. It acted as Brazilian counsel to the underwriters, including National Bank Financial and Cormark Securities, on an offering of common shares by Brio Gold. Another highlight was advising construction firm Direcional Engenharia and XP Investimentos, as underwriter, on a public offering of real estate receivables certificates. Eliana Ambrósio Chimenti, Gustavo Rugani and the ‘exceptionalAdriano Schnur Gabriel Ferreira are recommended. Rafael Carretero and investment fund specialist Luciana Costa Engelberg made partner in May 2017.

A ‘well-known and hands-on’ firm, Machado Meyer Sendacz e Opice Advogados achieves a balance between domestic and international transactions, with a focus on high-end and high-visibility deals. Following an internal restructuring, the firm has a merged M&A, capital markets and corporate finance practice under the overall leadership of Nei Schilling Zelmanovits, who works alongside practice co-heads specialising in M&A, private equity and publicly traded companies. Adriana Pallis now heads the corporate law and corporate governance practice. The firm’s full-service offering allows the team to draw on expertise in areas including tax, real estate, labour and infrastructure. A combined tax and M&A team led by Guilherme Bueno Malouf, José Ribeiro do Prado Júnior and Gustavo Rugani advised ArcelorMittal on its agreement with Votorantim to combine their long steel businesses; under the agreement, Votorantim will become a wholly-owned subsidiary of ArcelorMittal and will hold a minority stake in ArcelorMittal. The firm also advised Petrobras on the contracts for an alliance with Total, a significant deal within Petrobras’ divestment programme; Arthur Bardawil Penteado, Daniel Szyfman and Elie Sherique led the team. Mauro Cesar Leschziner and Gabriela Falcão Vieira are also recommended along with Luciana Costa Engelberg, who was promoted to partner in 2017.
