Specialist in structured finance transactions, debt restructurings and special situations cases, and mergers and acquisitions. He has extensive experience in the structuring and implementation of a variety of restructuring transactions, such as debts renegotiation (amend and extend), extrajudicial recoveries (recuperação extrajudicial), distressed fundraising (such as DIP financing), as well as investments, assets sale/acquisition (including as ‘isolated productive units’, knows as UPI sale), distressed credit/NPL trading and M&A transactions in general. He has represented creditors in general, debtors in debt restructurings and extrajudicial recoveries and investors (such as strategic, local and international hedge funds and private equity investors). He has provided legal assistance to companies, banks, investment funds and investors in structured and complex corporate finance transactions, local and cross border, including syndicated loans, asset-based finance transactions, securitization transactions and
trading of credit portfolios (including non-performing). He conducted important M&A transactions involving financial and non-financial institutions. He also advise clients on regulatory matters related to banking, finance and capital market regulation.

Among its headline deals, Adriano Schnur Gabriel Ferreira advised RIOgaleão Airport on a R$1.6bn long-term financing from BNDES, Banco do Brasil, Banco Bradesco, Caixa Econômica Federal and Banco Santander (Brasil) to support its expansion. On the restructuring side, the firm advised Vogel Telecom on a new credit line with Banco do Brasil of up to R$150m to repay existing debt and fund working capital - José Ribeiro do Prado Júnior and newly made-up partner Bruno Racy led that work. On the regulatory front, Eduardo Avila de Castro advised PayPal do Brasil Serviços de Pagamentos on the local regulatory aspects of the global payments giant's acquisition of iZettle. In addition, Nei Schilling Zelmanovits , who co-leads the department alongside de Castro, represented Banco Daycoval in high-profile administrative proceedings stemming from allegations of irregular practices in the collection of registration fees. The group also benefits from the senior experience of structured-finance specialist Renato Gomes Ribeiro Maggio ('a great choice for complex financing agreements'), 'excellent' project finance expert José Virgílio Lopes Enei and name partner José Roberto Opice. In 2018, the group also saw the partner promotions of Pedro Henrique Jardim, Raphael Zono and next generation lawyer Thais de Gobbi.

    Cyprus has concluded the negotiations for the avoidance of double taxation with the Netherlands. The double tax treaty was agreed at technocratic level in Hague. It is expected to be signed by the end of 2019 or early in 2020.

    On 2 October 2019, the Court of Justice delivered its judgment in Bajratari v Secretary of State for the Home Department (Directive 2004/38/EC) Case C-93/18 which concerns Chen applications and the source of funds for self-sufficiency. 
  • End of the ‘centre of life test’ in Surinder Singh cases?

    In the recent case of  ZA (Reg 9. EEA Regs; abuse of rights) Afghanistan   [2019] UKUT 281 (IAC ), the Upper Tribunal found that there is no basis in EU law for the centre of life test, as set out in Regulation 9(3)(a) of the Immigration (European Economic Area) Regulations 2016 (the “Regulations”). It further found that it is not to be applied when Judges assess  Surinder Singh  cases that appear before them.
