Partner and head of the corporate department. Specialises in finance and investment work, including debt funding, investment funds and debt restructuring, as well as general corporate and insolvency work.


Stuart has 25 years’ experience dealing with many facets of commercial law, including debt and
asset finance projects, funds and investments, corporate and business acquisitions, insolvency
and debt restructuring, and commercial insurance products as well as the associated regulatory
aspects of the relevant areas of law. He is an expert in complex structural issues and frequently
works with multi-disciplinary teams undertaking product development work.

A major international investment bank recently appointed Babbé LLP to oversee the migration and complete restructuring of six multi-billion-dollar securitisation structures from the US to Guernsey, and the banking team acted as sole counsel to Polygon in the structuring of a tailored listed note issuance. Clients find that Katherine Hitchins’ team ‘always acts with integrity, with thorough knowledge of the subject’. Stuart Tyler ‘is brilliant in his understanding of alternative banking structures’ and recently advised a borrower on the Guernsey aspects of a murabaha financing transaction. Also notable is senior associate Keith Bell, who is currently assisting Wells Fargo as lead arranger with regard to the refinancing of a closed-ended fund scheme, and guided multiple property investment vehicles through their restructuring and inter-group loan arrangements.

Babbé LLP recently handled several notable capital market transactions, such as Hologram FSG’s disposal of shares representing 100% of the issued share capital of Heritage Financial Services to Estera. Stuart Tyler acted for Quay Education on its purchase of a 30% shareholding in online education services provider Teqbay, and Robert Varley assisted a leading international mining company with its share placement and listing on the London Stock Exchange (LSE). Also notable are Katherine Hitchins, who continues to provide ongoing corporate legal advice to Polygon with regard to day-to-day operations and potential private equity opportunities, and senior associate Keith Bell, who has substantial experience in corporate governance matters.

Investment funds

The investment funds team at Babbé LLP ‘has strong technical expertise’ and ‘advice is delivered swiftly and in a pragmatic manner’. As well as acting for fund managers and financial institutions, the team recently advised on the establishment of a private equity fund specialising in financial sector investments, and dispute resolution partner Todd McGuffin acted in a dispute between the London-based manager of a fund and its board. In further highlights, clients appointed the group to oversee the establishment of a debt issuer specialising in bridge lending, and to handle the disposal by sale of an open-ended investment scheme. The senior names to note are the ‘very accessible’ Robert Varley, who ‘knows his stuff’, Kathrine Hitchins and Stuart Tyler.
