Corporate tax.

Position

James heads the corporate tax team. Like all members of the team he advises on all areas of corporate tax, real estate tax and share schemes. He has particular expertise on the taxation of property investment, property development and urban regeneration, and is increasingly involved in the tax structuring of property investment funds both onshore and offshore. He provides tax advice to nine out of the top ten national housebuilders. He advises on the tax structuring of share/business sales and acquisitions; tax indemnities and warranties; corporate group reorganisations; mergers and demergers; private equity/venture capital investments, including lead tax advisory work to private equity houses; SEIS, EIS and VCT investments. He provides tax advice on joint venture structuring, including JVCos, partnerships, LPs, LLPs, co-investment and contractual collaboration agreements; vendor tax planning and profit/capital extraction from companies; taxation of loans, interest, withholding tax, trade debt, debt release, debt/equity swaps; asset finance (in particular capital allowances); taxation issues associated with corporate insolvency; structuring and drafting share option arrangements including EMI, CSOP, SIP, LTIP, JSOP, growth in value shares, unapproved options, EBTs, directors loans, bonus and salary sacrifice schemes; VAT and VAT planning (with a particular nice practice on VAT for the sale/chartering/import/export of super-yachts).

Career

Trained: Bevan Ashford; qualified 1997. James was a graduate recruit to ICI Fibres spending four years specialising in business strategy and marketing. He then converted to law, qualified into corporate tax and joined Pinsents for five years followed by three years with DLA. He joined Gateley in 2005 and was made a partner in 2006. Publications of note: James is the consulting editor on VAT, stamp taxes and stamp duty land tax for Lexis Nexis ‘Encyclopaedia of Forms and Precedents’ and wrote the property taxation chapters in the ‘Sale of Land’ Volumes 38(1), (2) and (3); James wrote the chapter on the VAT treatment of super-yacht transactions in Informa’s ‘The Law of Yachts and Yachting’.
