Simon specialises in corporate acquisitions and disposals, reorganisations and corporate finance transactions. He is a member of the private equity team and regularly acts for institutions and management teams on leveraged transactions requiring an equity investment. As a senior lawyer with many years corporate experience, Simon is ideally placed to advise on the full range of issues arising from corporate acquisitions, disposals and mergers. He has a detailed understanding of business realities that comes from working with large retail and trading brands. Recent successes include leading the team advising: Palatine on their investments in Westleigh Developments through a £65m MBO; and on their MBO of TTC; LDC on the £30m acquisition of Prism UK Medical Limited from its Canadian-listed parent; on the management buyout of the PGL group of companies and on the subsequent £100m sale of PGL Group Limited to Holidaybreak plc; Maven Capital Partners on its investments in Prospectsoft, DPP and Flow Communications; the founders of throughout their period of ownership and its subsequent sale for £27m to a French-listed company; on the sale of Stuart Turner to LDC and founder Will Chase on the sale of Tyrells Crisps to a private equity purchaser.

The firm handles a range of commercial contracts matters and management buy-outs space, alongside some expertise in AIM capital markets. Paul Cliff  and Tom Rush, a June 2017 partner promotion, advised Franchise Brands on its reverse takeover of Metro Rod, which necessitated a re-admission of the company on AIM. Elsewhere in capital markets, the two also advised Stockdale Securities as Nomad to the £16.9m AIM IPO of Verditek, which owns several cleantech businesses. Chris Reed  ‘works hard, keeping things rolling and most importantly getting the best deal for clients in the long term’ - his work includes significant buy-side MBO deals; Tom Durrant advised Inflexion Private Equity on the management buyout of PCMS Group, which provides point of sale software to retailers including Waitrose. Simon Gill advised Palatine Private Equity on an investment in TTC Group. Mike Ward advised My Policy Limited on the company’s sale in a management buy-out backed by Inflexion Private Equity.
