Position
Specialises in partnership, LLP and trust law. Rachel advises professional practices on a range of internal governance issues, including age discrimination, profit-sharing structures and partner performance. She has been actively involved with the conversion of many professional firms to LLPs since the introduction of UK LLPs and is currently leading several ongoing conversions in the UK legal sectors. Rachel pioneered the use of LLPs in the fund management sector. She has advised both corporate participants in fund managers and individual members on all aspects of their internal constitutions, including financing arrangements, exit structures and management. Rachel has also advised on the acquisition and sale of businesses structured as LLPs and the establishment of, and sale of interests in, funds structured as English-limited partnerships. Rachel advises on the use of LLPs, limited partnerships and commercial trusts in contexts outside of the professional services and fund management sectors, including in structured finance transactions, for creditor protection and as family wealth planning opportunities. These skills serve to emphasise the exceptional breadth of the practice at Addleshaw Goddard, which is now unrivalled in the City. Rachel co-ordinated Addleshaw Goddard’s response to the BERR consultation paper on reform of limited partnership law. Rachel both writes and lectures on partnership and LLP.
