Advises a mix of listed and private companies and individuals on all aspects of company law and corporate finance, including M&A, takeovers, the Takeover Code, disposals, demergers, spin-outs, IPOs, fundraisings, group reorganisations and financial restructurings, capital reductions, joint ventures, corporate constitutional matters, shareholder agreements, directors’ responsibilities and governance issues, including the UKLA’s Listing Rules, Market Abuse Regulation, Prospectus Rules, Disclosure Guidance and Transparency Rules and the AIM Rules. He leads our relationship with and advises Dixons Carphone, BT,, Speedy Hire, JD Sports, Norcros, The Hut, My Dentist, Boohoo, Arrow Global, Radius Payment Solutions, B&M Retail, Fircroft, Travel Counsellors and Victrex.

Addleshaw Goddard captures a significant share of the market for work from AIM50 and AIM100 companies, and also acts for a number of NOMADs. The firm handled five AIM IPOs in 2017, which included Roger Hart in Manchester acting for Sumo Group Plc in its £145m AIM IPO. The firm expanded its presence into the Scottish market by merging with HBJ Gateley in 2017; Glasgow-based Anna Brown led the advice to The City Pub Company Plc on its institutional placing and AIM admission. In addition to IPOs, the firm also has strong capabilities in secondary offerings and reverse takeovers, among other matters.London partner Giles Distin has advised on circa 50 public takeover bids, a sizeable number of which have involved AIM-listed companies. Simon Wood, Richard Lee and Jeremy Cruse are other key figures. Jamie Partridge moved to Eversheds Sutherland (International) LLP.

'A market leader' according to clients, Addleshaw Goddard delivers 'outstanding service' across public M&A, equity capital markets and private equity, as well as corporate real estate deals. Private equity specialist Andrew Green  led advice for Inflexion Private Equity Partners  on its £800m investment in Radius Payments Solutions and Sheelley McGivern  led WBHO on the acquisition of a significant minority stake in Byrne Group. Roger Hart represented Zeus Capital on the £130m accelerated bookbuild and private placement fundraising conducted by and is leading advice for Sumo Group in relation to its proposed IPO on AIM.  Duncan Wilson advised the shareholders of Piriform Group on the sale of the company to Avast Software. Peel Group, Clinigen, Dixons Carphone and The Hut are also clients.  The 'brilliant' Richard Lee,  private equity team head Paul Medlicott  and legal director Jamie Partridge  are also recommended, as are managing associates Jemma Clarke  and George Danczak , and department head Michael Birchall, who specialises in M&A and corporate finance mandates. Adam Kaucher  recently joined Irwin Mitchell.
