Nguyen Viet Ha is a founding partner of Lexcomm and the Head of Mergers and Acquisitions, Real Estate and Construction, Technology, Media and Telecoms, and Intellectual Property practice with more than 24 years of legal practice.


In 1994, Ha commenced his legal career, joining Freehills in their Hanoi Branch, as one of the first Vietnamese lawyers in a foreign law firm in Vietnam.

Ha has been actively practicing in the IT, media and telecoms sector for 20 years. In his role as in-house counsel with Vietnam Post and Telecommunications Group (VNPT), he appeared as lead counsel in charge of many large scale foreign investment projects (including business cooperation contracts with Telstra, France Telecom, NTT, Korea Telecom, Comvik and Vinasat-1 in Vietnam’s telecom sector from 1994 to 2005.

Ha was also the head counsel for Vietnamobile, a brand of Hutchison Telecom International in Vietnam, providing mobile phone services in Vietnam.

Ha is admitted to practice in Vietnam as a qualified lawyer of the Hanoi Bar Association and a member of the Vietnam Bar Federation. He is also a member of the New York State Bar Association.

Following his successful participation in a nationwide legal competition in 2002, Ha was awarded a full scholarship to read a Master of Laws (LLM) at the School of Law, Niigata University (Japan). During the years 2002-2005, Ha focused mainly on E-commerce and M&A in the IT, media and telecoms sector.

Lexcomm Vietnam LLC handles buy – and sell-side M&A work for local and international clients. Nguyen Viet Ha and Pham Ba Linh advise a foreign buyer on a proposed purchase of a listed pharmaceutical company, while Luong Van Trung, who jointly heads the practice with Ha, assisted an investment fund managed by Maj Invest with the sale of a 27% stake in furniture manufacturer AA Corporation. Other clients include Daiwa Securities, which Ha and Linh are advising on the planned purchase of shares in Saigon Securities.

Lexcomm Vietnam LLC’s team is β€˜helpful regarding various issues in the petroleum and energy sector, such as production sharing contracts, taxes, gas and renewables’. Pham Ba Linh, who is β€˜enthusiastic, client-focused and knowledgeable in Vietnamese legal issues’, advises international oil companies on block developments and farm-ins regarding oil and gas blocks, and also serves as local counsel for developers of gigawatt-plus coal fired power stations. Nguyen Viet Ha and Linh advise Vietnam Electricity as project sponsor of the 600MW Nghi Son 1 coal-fired power plant, which will be built by an EPC contractor. Work in the transport space includes Linh advising a contractor on the Ho Chi Minh City Metro Line 1 project. The firm also acts for water plant developers and road constructors.

Lexcomm Vietnam LLC, in addition to advising on telecoms regulations, assists local broadcasters with major broadcast content deals. Nguyen Viet Ha advised VTVcab on the purchase of television rights to the UEFA Champions League as international and Vietnamese counsel in a $3.5m deal involving California and Vietnamese law; he also advised Yan TV on purchasing the broadcast rights to the 2016 Olympic Games. Telecoms regulation, where clients include Southeast Asia Telecommunications Holdings, is another area of expertise.

    On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
