Mr. Prashant Sirohi is a Partner at the Firm and works in the projects team at the New Delhi office of Shardul Amarchand Mangaldas & Co. He has extensive experience in project and project finance related transactions in the railways, power, roads, ports, airports, oil & gas sector in India.

Prashant has been involved in advising various Indian as well as multi-national companies on commercial law aspects, including drafting, structuring and negotiating various business purchase agreements, share purchase agreements, shareholders agreements, financing agreements, EPC contracts, consortium agreements, and other related legal advisory work.

Prashant has advised on a series of transactions in the oil and gas field, the gas sale and purchase as well as the gas transportation arrangements in relation to the Turkmenistan-Afghanistan-Pakistan-India pipeline project and the Iran-Pakistan-India pipeline project, which was awarded the Energy Deal of the Year by Asian Lawyer (ALM Emerging Markets Awards 2014). He advised IndianOil, Bharat Petroleum, GSPC and GAIL (India) Limited on their negotiation of their long-term LNG sale arrangements with Exxon and Rasgas (now Quatargas). He recently also advised ONGC, Oil India, IndianOil and Bharat PetroResources on their bids for the Abu Dhabi oil blocks.

On the railways side, Prashant has been involved in advising the Ministry of Railways in the development of the legislative framework for the development of High Speed Railways in India. He is also advised bidders in relation to the trainset tenders of the Indian Railways (and Integral Coach Factory) in relation to adoption of modern lightweight trainset, and GE Transportation on their successful bid for the D-Loco Factory at Marhowra, as a part of the ‘Make in India’ initiative. Prashant is also currently advising Rail Land Development Authority and Indian Railways Station Development Corporation in relation to the commercial development and re-development of rail land and stations in 8000 stations pan India.

Prashant has also advised on large power projects across India as well as outside India. He has advised NTPC Limited in relation to a 500 MW coal based power project in Srilanka. Prashant recently advised Bangladesh-India Friendship Power Company Private Limited, a joint venture of NTPC and BPDB in relation to drafting, reviewing and finalization of tender documents for the construction (on EPC turnkey basis) of 2x660 MW maître super-critical thermal power plant at Bangladesh. He recently advised the bidders in relation to their bids for Jaypee Group’s power assets.

He recently advised bidders on their bids in the recent round of privatization of 6 airports in India, and routinely advises airport operators on their contracts and real estate developments, as also tariff related issues.

Prashant has also extensive experience in financing and restructuring arrangements, having advised on a series of projects in the power, airports, renewables, steel, oil & gas, railways, roads and pharmaceuticals sectors.


Prashant joined the Firm in 2008, after completing LL.B. from National Law School of India University, Bangalore. He was promoted to partnership in June 2018.
