Position

Mr. Prashant Gupta is a Partner and National Practice Head for Capital Markets in the Firm. He represents both issuers and underwriters in various equity and debt capital raising transactions, including, public offerings, rights issues and QIP offerings, buy- backs, capital restructurings and pre-IPO private placements.

Prashant has advised on capital markets transactions that have raised over USD 35.0 billion globally including the largest Indian IPO (Coal India) and largest bond offering by an Indian group (Vedanta Resources plc). Several of his deals have been selected as "Deals of the Year" (Asia) by International Financial Law Review (IFLR), India Business Law Journal (IBLJ) and Asian-MENA Counsel. He has also acted on various significant international transactions by India-focused companies, including IPOs in the United States (NASDAQ/NYSE) by MakeMyTrip, Amira Nature Foods, Eros International, Videocon d2h and Azure Power Global.

Prashant has advised on equity and bond offerings by issuers across various industries, including Apollo Tyres, Azure Power, Amira Nature Foods, AU Small Finance Bank, Bharti Infratel, CL Educate, Coal India, DEN Networks, DLF Limited, Dr. Lals Pathlabs, Eris Lifesciences, Eros International, Federal Bank, HPCL-Mittal Energy, IDFC, InterGlobe Aviation, Jubilant Foodworks, MakeMyTrip, ONGC, PC Jeweller, Power Grid Corporation, PNB Housing Finance, S Chand & Co, Network18/TV18, Vedanta, Videocon d2h, and Yes Bank.

Prashant has been highly recommended by Who’s Who Legal, Chambers Asia-Pacific and Chambers Global (as Band 1), IFLR 1000 and Legal 500, among other publications as one of the leading capital markets practitioners in India. He is one of only three “Band 1” ranked capital markets lawyers in India by Chambers Global and has been recognised as a “Market Leader” by IFLR 1000 in 2018 and 2019. Since 2016, he has been selected as one of the top 100 private practise lawyers in India by India Business Law Journal every year. Shardul Amarchand Mangaldas & Co is adept at handling the whole spectrum of debt and equity offerings, particularly for a client base of investment banks and issuers. The team recently advised Azure Power on the issue of $500m worth of green bonds and represented Kotak Mahindra Capital Company and J.P. Morgan India as the two managers in the $2bn buyback of shares from Infosys. The client base also includes UBS Securities, Yes Bank, Eris Lifesciences and HPCL-Mittal Energy. The practice is headed by Prashant Gupta, and chairman Shardul Shroff is well known in this space.

  • WHHPL v NHAI

    New Delhi, 31st August 2019: West Haryana Highways Projects Private Limited (a Special Purpose Vehicle of Era Infra Engineering) was awarded a Concession Agreement by NHAI on DBFOT Toll basis for widening of existing two lane highway and also constructions of two new bypasses. Although WHHPPL substantially completed the work and Toll was stared in 2014, NHAI was not declaring the completion. Also WHHPPL suffered huge losses due to Project overrun including threat from Banks/Financial Institution w.r.t Insolvency Proceedings (needless to reiterate one such proceedings under I&B Code filed by Bank of Baroda (erstwhile Dena bank) was recently rejected by Principal Bench, New Delhi). It was the case of WHHPPL that NHAI failed to adhere to the terms of CA in fulfilling its obligation of handing over of land. The Arbitral Tribunal passed an Award in favor of WHHPPL inter alia agreeing with the contentions of WHHPPL and also held that NHAI was in breach of the CA. The Tribunal passed an award (including interest) of Rs.750 Crores in favor of WHHPPL .

  • International Arbitration Review - India

    The Arbitration and Conciliation Act, 1996 (Act) provides the framework for arbitration and conciliation in India. Drafted on the basis of the UNCITRAL Model Law, it is divided into four parts. Each part governs a different aspect of the arbitration and conciliation process: a Part 1 governs commercial arbitration; b Part 2 governs the enforcement of certain foreign awards; c Part 3 governs conciliation; and d Part 4 contains supplementary provisions (regarding the power of the court to make rulings, etc.). The Act 2 was recently amended in 2016 with an aim to make it more robust by plugging the lacunae that existed in the original legislation.
