Position

Michael Gu is a founding partner and executive member of AnJie law firm. Michael’s practice mainly focuses on antitrust, cross-border investment and general corporate. As one of the first lawyers practicing competition law in China, Michael has handled numerous merger control filings for multinational companies, such as Deutsche Post AG, Johnson & Johnson, Volvo and Applied Materials, Charthouse, Schaeffler KG, AstraZeneca and Saint-Gobain. Particularly in 2008, Michael successfully submitted the first merger filing under the new Anti-Monopoly Law which also received the first approval from the Anti-Monopoly Bureau of the Ministry of Commerce of the PRC. Michael Gu frequently advises clients on the monopoly agreement and abuse of dominance issues arising from their daily operations and provides strategic preventive solutions. Michael provides antitrust compliance training to many multinational companies as well as large state-owned enterprises. Michael has recently represented clients in several high-profile antitrust investigation proceedings, antitrust civil litigations and leniency programs. Michael is also very experienced in mergers & acquisitions covering a full range of private and public company transactions and cross-border acquisitions. Some of his notable clients/cases include: Citibank’s strategic investment in Guangdong Development Bank; UBS AG’s strategic investment in Bank of China; Nikko Asset Management Co., Ltd., strategic investment in Rongtong Fund Management Company; DaimlerChrysler AG’s share purchase of Beiqi Futian Automobile Co. Ltd; Goldman Sachs’s establishment of the first PRC securities company controlled by foreign investors, Scottish & Newcastle’s strategic investment in and cooperation with Chongqing Brewery Company; Volvo’s acquisition of a major PRC construction machinery manufacturer; and Avenue Capital’s strategic investment in Century 21 China Real Estate. In addition, Michael advised KKR, TPG, Carlyle, and Mitsui on their landmark investments in China. Also, Michael serves as external counsel for many multinationals and PRC listed companies and provides general counseling service on regulatory issues and other general corporate matters, e.g. contract review and negotiation, advertising, compliance, labor issues, unfair competition, antitrust, etc. Representative clients include Coca-Cola, Motorola, Tetra Pak, Endemol, Galaxy Resources Limited, and China Film Co., Ltd.

Its client roster features local and international clients spanning a broad range of sectors. Managing partner Hao Zhan has 'a wealth of experience of handling private antitrust litigation'. Among the recent cases the team had handled, Zhan and Ying Song defended a multinational manufacturing company in an abuse of market dominance case and are acting for the same client in an antitrust investigation initiated by the National Development and Reform Commission (NDRC). Michael Gu assisted with the merger control aspects of a joint venture transaction and advised Yinyi Group on its concentration filing with MOFCOM relating to its acquisition of Punch Powertrain.
