Career

Ms. Xu joined Han Kun in December 2004. She previously worked at the Beijing
office of Reed Smith Richards Butler as a legal consultant.
Ms. Xu specializes in overseas and domestic IPOs and restructurings, private equity
financings and mergers and acquisitions. The clients that she represents cover a wide
range of industry sectors, including telecommunications, the Internet, information
technology, biotechnology, real estate, manufacturing, pharmaceuticals and retail.
Ms. Xu has represented many multinationals, PRC companies and funds in cross-border
mergers and acquisitions. She has assisted numerous PRC companies in their overseas
equity and asset acquisitions (in the areas of real estate, entertainment media,
manufacturing and agriculture) and has also represented a large number of overseas
companies in their sale of equities and assets to Chinese purchasers. In addition, Ms.
Xu has assisted U.S. dollar and RMB funds to complete domestic and foreign private
equity investments and has assisted several PRC companies in their domestic and
foreign equity financing projects. Ms. Xu has considerable experience in foreign
capital markets, and has represented a number of PRC companies to execute IPOs in the
United States, Hong Kong and Australia. Ms. Xu also regularly advises overseas and
multinational companies on their business operations in China.

Ms. Xu is a graduate of the University of International Business and Economics (LL.B.
Degree, 2002) and the University of Bristol (U.K.) (LL.M. Degree in International
Commercial Law, 2004).
