Position
Corporate partner, experienced in managing the corporate law and other legal aspects of large projects for listed public companies, international groups and large public sector bodies, often where the organisation is undergoing rapid change, growth, or reacting to unexpected events or crises. She is also highly experienced in acting for distressed large corporate bodies, undergoing rescues and reorganisations. Frances has an unusually wide ‘operational’ legal background. She has held three director roles on secondment to major public sector bodies and a FTSE-listed retailer dealing with major projects and crises issues. She spent six months as consultant to a large bank during the recent global financial crisis assisting with negotiating and plans for implementation of a government assistance scheme. She is adaptable to different organisational cultures and able to give ‘hands on’, practical legal support to organisations dealing with large-scale and complex projects, change situations and crises, which have resource or timing pressure for the client’s internal management team. Frances also led the project team that designed and implemented BLP’s award winning Managed Legal Service transaction with Thames Water. Frances has led projects looking into propriety and regularity issues including advising on, and reporting to, Parliamentary Select Committees. In addition, Frances advises on corporate governance and general corporate advice. Other experience includes general corporate finance including mergers, acquisitions and disposals and establishing joint ventures and property investment vehicles and advising on general partnership law and limited liability partnership issues.
