Position
Michael specialises in finance and real estate-based transactions and clients, including real estate financings, bespoke property funds, securitisation, leasing and tax-based structured financings and corporate acquisitions, disposals and restructurings. As well as advising corporates, investors and banks on the tax aspects of their real estate strategies, he has particular experience in applying securitisation techniques to the financing of real estate portfolios and ‘whole businesses’, and has worked with both originators and lead managers in transactions involving the office, retail, pub, water and healthcare sectors. Michael has advised on a considerable number of UK whole business or complex securitisations for originators and lead managers since the market’s inception, including: Eurotunnel; Unique Pubs, Nursing Home Properties; Canary Wharf; Land Securities; Priory; BUPA; Southern Water (finalised but not completed as used to provide price floor for business sale). He has extensive experience of tax issues arising on construction, development and its financing having, inter alia, been the lead tax partner for Canary Wharf for ten years. He also has considerable experience of finance leasing of plant, machinery and real estate for both lessors and lessees, including acting for a finance lessor to a water company, and buying and selling leasing companies. Recent experience includes advising Blackstone on its £26bn Broadgate JV with British Land, the £772.5m acquisition of the HSBC Tower at Canary Wharf for the South Korean Pension Fund, Oxford Properties and UBS on the Watermark Place leasing to Nomura, and numerous debt funds and restructurings.
