Senior Resident Partner


Rupali Sharma is the Senior Resident Partner and Co-head of the Firm’s Mumbai office. She has over 24 years of experience in corporate law, mergers and acquisitions, foreign investments and restructuring, real estate, banking & finance.

She regularly advises client on all areas of mergers and acquisitions practice (including stock acquisition, business/asset transfers, joint ventures, buyouts, due diligence). She has handled significant transactions in almost all sectors such as manufacturing, pharma and health, logistics, infrastructure, service, insurance etc. She has advised and assisted several multinational clients in diverse sectors on entry strategy, business formation and strategic alliances, joint ventures, corporate structuring, technology transfer, drafting and negotiating transaction documents etc. Rupali also regularly advises clients on wide range of complex issues arising out of company law, foreign exchange laws and commercial contracts.

Rupali’ s real estate experience includes a diverse clientele of real estate developers, construction companies, and overseas funds on various projects including slum rehabilitation schemes, re-development of old & cessed buildings, special economic zones (SEZ). The legal support that she has provided to her clients is comprehensive and holistic:  right from due diligence of land, at the stage of acquisition of property, to structuring of the transactions, drafting of suitable documents (development agreements, joint venture agreements, agreements to lease, template agreements for sale of flats), till actual transfer of the property upon development (including by way of condominium). She has given opinion on complex issues such as forest laws, land tenures, building permissions and approvals, Real Estate Regulation and Development Act, 2016 and Rules thereunder. She regularly hand-holds various multinational companies in their transactions pertaining to factory leases and leave & license agreements.

She also heads the employment law practice of the Kochhar Mumbai office. She regularly advises clients on all aspects of employment laws and critical issues such as retrenchment, closure, termination etc. She  assists clients in drafting employment agreements, employee handbooks, consultancy agreements, service bonds, confidentiality and non-disclosure agreements, stock options schemes, HR related policies such as prevention of sexual harassment (POSH), leave policies, separation and release, settlement, standing orders, HR audits, compliance with employment laws, analysis of possible liabilities of the company in case of employee related dispute etc.

Rupali regularly attends national and international conferences and has been a speaker at various forums. She has authored several articles and chapters for domestic and international magazines and other publications of international repute.

The IP group at Kochhar & Co. advises both private companies and public sector corporations on a range of contentious and non-contentious matters. It is instructed by Nissan Motor Corporation to manage its trade mark portfolio in India, as well as advise on infringement and enforcement of all IP rights. The group also represents the Khadi and Village Industries Commission in proceedings relating to infringement of the global KHADI trade mark. Other clients include BlackBerry, Emirates Airlines and Samsung India. Gurgaon-based Tarvinder Singh heads up the practice which also includes Rupali Sharma in Mumbai and Savitha Kesav Jagadeesan, who leads the South India practice from the Chennai office.

The team at Kochhar & Co. has significant real estate sector experience and boasts a client roster of well-known corporates. Practice head Alok Tewari (based in New Delhi) is leading a team acting for Maruti Suzuki India on the acquisitions of multiple parcels of land for development of distributorship and after sale service centres pan-India. The group also assisted Microsoft with the consolidation of all its leases as well as negotiating contracts for its project for the construction of a Hyderabad campus.
