Position

Malcolm is a corporate lawyer specialising in private equity and mergers and acquisitions. His experience includes a wide range of both UK and cross-border M&A and private equity work, including acquisitions, disposals, joint ventures, reorganisations, private equity investments and exits. He has worked in both the UK and Australia. Experience: acting for Elysian Capital on the management buy-out of Wellbeing Software Group, a market-leading healthcare IT group; acting for FF&P Private Equity on the management buy-out of the specialist property services company David Phillips; acting for management on the Risk Capital-backed buy-in management buy-out of Neilson Active Holidays from the Thomas Cook Group; acting for the Business Growth Fund (BGF) on its investment in Cass Art, one of the UK’s leading independent art materials retailers.

Practice head Malcolm MacDougall is 'focused on getting the deal done'. 2017 was a strong year for the team, with it winning work from new clients such as Rockpool Investments and Apposite Capital. In addition to acting for private equity houses, the group also undertakes transactional work for management teams and investee companies. MacDougall, Richard Coleman and others acted for the shareholders and management team of Black Rock Programme Management in the £161.5m investment by Intermediate Capital Group. Another matter involved Keir Gordon, legal director Deborah Robson and associate Darren Marley advising Zenium Group (which was backed by Soros Private Equity Partners) on selling its Turkish data centres to Equinix for $97m, and then advising the client's shareholders on the sale of Zenium Group to CyrusOne Dutch Holdings. Andrew Clarke and Adam Crossley are the other key partners in MacDougall's team, which also includes senior associates Lucy Thorpe and Chris Manning.

Other clients include Bestport Ventures, Shore Capital, Takumi and Shore Capital.
