Position

Tim is a corporate lawyer with over 20 years' experience advising clients on company sales, mergers and acquisitions, raising finance, complex joint venture arrangements and company restructuring. Over the last 15 years, Tim has concentrated mainly on the infrastructure, construction and engineering sectors, providing corporate advice to clients operating within these markets. He is the principal point of contact within the firm for M&A and corporate legal advice to clients operating within these sectors. As well as advising clients on mergers and acquisitions, Tim has also worked on the corporate and financing aspects of major infrastructure projects, both domestic and international, including PFI and PPP, and he regularly acts for buyers and sellers in secondary market project equity transactions. Tim has acted for clients such as Atkins, Balfour Beatty, Bouygues, BAM Nuttall, Skanska, Mouchel, Kier John Laing, Carillion, Egis, CNIM, Ferrovial Agroman and Vinci. Experience: advised French international construction giant Bouygues on its acquisition of UK construction company JB Leadbitter from its Dutch parent Heijmans NV; advised international engineering consultancy Atkins on the sale of its facilities management division to French multinational Sodexo; led the team advising the development joint venture (formed between Higgins Group and Pinnacle Regeneration) in the £175m Lambeth Social Housing PFI Scheme; advised Vinci, one of the world’s largest construction companies, on the sale of equity in a number of UK Building Schools for the Future Projects from secondary market fund Infrared, in a deal which also saw Vinci acquiring equity in similar projects from Infrared.

Charles Russell Speechlys LLP 's Chris Putt has a strong track record in domestic and international corporate finance transactions; he jointly heads the power outfit with David Berry who specialises in corporate and commercial mandates such as joint ventures, outsourcing and long-term commercial relationships. The Energy Technologies Institute instructed the group to oversee the funding, design, build, testing and commercialisation of a waste gasification plant in partnership with a co-funding technology provider, and Berry acted for Bellway Homes in its negotiation of an ESA with Engie to operate a district heating system for a residence connected to the biomass-fuelled combined heating and power plant. Kevin Forsyth renewed the entire operation and maintenance agreements for the next ten years on behalf of the owning consortium and operator of a major offshore wind farm. Other notable partners  include Tim Ball and construction expert David Savage .

With blockchain and payments having been its core pillars for some time, the team at Charles Russell Speechlys LLP is also highly active in regtech and ICOs. Financial services regulatory expert William Garner, who is strong in blockchain, ICOs, payments and broker-related work, heads the department jointly with technology infrastructure and outsourcing expert Mark Bailey. Garner continued to assist SETL Development with regulatory matters, and Bailey advised insurance platform Cheshire Datasystems on various GDPR issues and on its move to cloud-based solutions. On the corporate side, Duco Technology instructed William Nash on an $28m investment by Insight Venture Partners, NEX Opportunities and Eight Roads Ventures, and Tim Ball advised Nxtera on its £13m sale to an undisclosed buyer. One Ragtime Platform, Conferma, R5FX and, more recently, Kuende are all clients of the practice. Senior associate Richard Ellis joined in September 2017 from Gowling WLG; he is a financial services regulatory specialist with particular knowledge of crowdfunding.
