Career

Charunun Sathitsuksomboon is a partner in Tilleke & Gibbins’ Bangkok office. A pragmatic counselor and meticulous practitioner, Charunun handles a wide range of commercial transactions and related tasks, including mergers and acquisitions, joint ventures, due diligence, foreign direct investment, cross-border transactions, corporate restructuring, and e-commerce. She also advises on the regulatory regimes surrounding same, including corporate, commercial, and trade competition laws.

She is an active contributor to the Thai-Norwegian Chamber of Commerce (NORCHAM), serving as the Board Secretary. Charunun also regularly writes and presents on the topic of doing business in Thailand. She is a member of the Thai Bar Association and is a lawyer licensed with the Lawyers Council of Thailand.

Working alongside a law firm in Taiwan, Cynthia Pornavalai assisted CTBC Bank on the acquisition of a 35.7% shareholding in LH Financial Group. Its busy M&A department ensures a steady flow of work; real estate lawyers work alongside corporate colleagues to advise on the property aspects of transactions. In a recent example, Charunun Sathitsuksomboon advised the Thai subsidiary of a Japanese company on the acquisition of a Thai company, which required advice on a factory acquisition, land requirements and industrial approvals. Cynthia Pornavalai heads the department, which also includes Chaiwat Keratisuthisathorn, who is an expert in property acquisitions.

Transport

Tilleke & Gibbins has a varied transport practice that spans rail, road, shipping, logistics and aviation. The aviation department is led by consultant John Frangos, who acts in complex disputes in Thailand and Vietnam. In recent work, Frangos and Thawat Damsa-ard acted for a US-based aircraft leasing company in relation to an administrative court case involving the repossession of two aircraft from a Thai airline; this matter tested the ability of the Civil Aviation Authority of Thailand (CAAT) to deregister aircraft without a court order. Further, Frangos and Damsa-ard are advising an airline on a high-profile collision at an airport, which caused extensive damage to the client’s aircraft. In the non-contentious space, corporate and M&A partner Charunun Sathitsuksomboon advised a Singaporean client on the acquisition of a Thai logistics company, which required advice on transport licensing and shipping requirements. Also recommended is transport and logistics expert Chinachart Vatanasuchart, who is highly experienced in international trade and customs, insurance and employment law.
