Position

Colin is a partner in the corporate group. He specialises in the financial institutions sector and leads the team providing corporate advice to the asset management client base. He advises six of the ten largest European hedge fund managers on corporate issues. Colin has extensive experience advising on international corporate finance deals, mergers and acquisitions and capital raising exercises for companies across Europe, India and China. Colin’s recent experience includes: advising BlueCrest on the repurchase of a minority investment held by the Man group for in excess of US$650m; advising a fund promoted and advised by a leading investment bank in relation to various minority investments in asset managers; establishing various alternative investment management groups including Altima Partners and Edoma and advising on the conversion of various alternative investment managers to limited liability partnerships including Perry Capital, Tudor and BlueCrest; advising Gottex Fund Management on its initial public offering and listing on the SWX; advising the shareholders/partners of various hedge fund managers on minority investments by institutional investors including in Lansdowne Partners, Spinnaker Capital and Brevan Howard; and advising on the reorganisations of the BlueCrest and Brevan Howard groups in connection with the establishment of operations in Switzerland.

Simmons & Simmons is 'absolutely superb' in the hedge fund, private equity and fund manager arena, particularly in terms of drafting, structuring and partnership disputes. The team is led by 'hugely experienced' and 'authoritative' Colin Leaver who stands out for his drafting skills. Gideon Sharp advised APG Asset Management on the merger of the Elephant & Castle and "East Village" residential projects to create a £1.4bn joint venture, the partnership of which is structured as a series of separate but interconnected LLPs. 'Excellent tactician' Robert Turner, who is situated within the dispute resolution team, is often instructed on partnership disputes. Predominantly advising clients in the asset management sector on structural partnership issues, 'attentive' and 'business aware' managing associate Tom Fricke is another key practitioner.

  • Failure to counter financial crime: Norwich Union Life

    In December 2007, the Financial Services Authority (FSA) imposed a fine of £1.26m on Norwich Union Life (part of the Aviva Group), one of the largest life insurance businesses in the UK with around seven million customers. The fine related to failures to take reasonable care to establish and maintain effective systems and controls for countering the risks of financial crime. The fine is the latest confirmation of the emphasis being placed on protecting clients and customers from the threat of financial crime.
