Vilaf handles various project finance and banking sector M&A, often for leading Asian clients. Vo Ha Duyen and senior associate Nguyen Thanh Tung advised JBIC, as arranger, on the $2.5bn financing of the Vung Ang 2 coal-fired power plant project; the pair also advised Crédit Agricole and ANZ Bank on amending the security package regarding the Phu My 2.2 power project in consideration of Crédit Agricole’s closure of its Vietnamese office. In the bank sales space, Duyen advised ANZ Bank on an auction process to sell its Vietnamese retail banking operations, while Hanoi office managing partner Dang Duong Anh advised Shinsei Bank on its purchase of 49% of Mcredit. Aircraft financing is another specialism: Duyen and senior associate Nguyen Thi Kim Anh advised BNP Paribas and Awas on the financing of several Airbus aircraft used by VietJet.

Vilaf handles onshore and offshore bond listings, often but not exclusively for arrangers. Tran Tuan Phong and counsel Vu Le Trung, who are based in Hanoi, advised the BIDV as arranger of Becamex’s two-phase bond issuance, the first to the value of VND1.5tn, the second VND530bn; the pair assisted the same investment bank with a VND1tn issuance by Xuan Mai Corporation. The team also acted for Novaland Investment Group on its over VND1.5tn bond issuance.

Vilaf works with leading international firms on the Vietnamese elements of cross-border deals, acting on buy and sell sides. Vo Ha Duyen and Pham Si Hai Quynh are advising ANZ Bank on its scheduled departure from the Vietnamese retail banking market by way of the sale of its Vietnamese business to Shinhan Bank. Bui Ngoc Anh, who is based in Hanoi, and senior associate Tran Thuy Anh advised All Nippon Airways on its purchase of a minority stake in Vietnam Airlines. Dang Duong Anh assisted Shinsei Bank with its purchase of a 49% stake in Mcredit from Military Bank. Other clients include SCG Chemicals, which Duyen advised on buying out the other co-owners of the Long Son petrochemical project after a shareholder deadlock.

Energy highlights include Duyen advising JBIC on its role as financing arranger of the Vung Ang 2 BOT power project, while on the contractor side Tran Tuan Phong advised Marubeni on its role as engineering, procurement and construction (EPC) contractor alongside Vietnam Electricity for the 600MW Thai Binh 1 coal-fired power station. Vilaf handles acquisitions of office buildings and residential developments, plus construction disputes. Nguyen Truc Hien is a key name for transactional work, with Vo Ha Duyen and Tran Tuan Phong also involved in this space. The group provides a full service to real estate clients, and testament to this was Hien’s advice to real estate developer Novaland Investment Group on a bond issuance.

    On 6/20/2012, the National Assembly voted to adopt the Law on Price (the "LOP") in response to the public demand for an effective legal framework to control price manipulation from dominant enterprises such as gasoline, electricity, etc. The law will take effect from 01/01/2013 and repeal Ordinance No. 40/2002/PL-UBTVQH10 dated 26/4/2002 of the National Assembly Standing Committee (the "Ordinance"), which is conceived as outdated and containing certain provisions contravening the WTO’s regulation. This article describes the main features of the law and provides some insight into its potential impacts on the Vietnamese economy.
