Bancha joined Siam Premier in 1996 and was admitted to Partnership in 2002. Following completion of his academic training, which included a Masters on Mergers and Acquisitions from Cornell University, USA, Bancha has put this international training into practice acting for large multinational clients in establishing first class commercial arrangements. Bancha has wide knowledge in the energy laws and is the head of our team lawyers providing legal advice and consultancy to the Ministry of Energy on a yearly retainer basis. The Thai Ministry of Justice has certified Bancha as an official Thai- English translator. These translation skills provide his clients with invaluable assistance when navigating the lingual and cultural barriers to successful investment in Thailand.

Corporate and M&A

The corporate and M&A department at Siam Premier International Law Office Limited is the firm's largest, comprising partners and associates with substantial experience in corporate and commercial transactions, FDI, joint ventures and corporate restructurings. It has a proven track record in domestic M&A, and also serves as Thai counsel in multi-jurisdictional transactions. In a recent example, Chatchavej Chitvarakorn and Kanokon Worachanyawong acted as local counsel to a Swedish company on the acquisition of a 49% stake in a Thai med-tech company. The department's regular clients also rely on it for day-to-day corporate and commercial advice; Bancha Wudhiprecha, for example, advises a retail company on corporate matters and various commercial issues such as licensing and permitting. In other ongoing work, Wudhiprecha is acting for a media company in connection with the potential acquisition of a 20% stake in a Thai listed company. Linda Osathaworanan is another leading practitioner in the team and is regularly instructed by domestic and multinational companies.

Labour and employment

Siam Premier International Law Office Limited’s employment team is instructed by some of Thailand's largest corporates to advise on labour law and employment disputes. Indeed, the firm’s sizeable litigation department is one of its major advantages. Many of the team's litigators have experience representing domestic and international employers and employees in various employment disputes. Of note, Kong Suriyamontol and special counsel Chakrapong Boonchan are representing an individual in an unfair dismissal claim against a former employer; having successfully obtained a substantial award for the termination, the team is now pursuing further damages in the Supreme Court. Additionally, corporate partner Bancha Wudhiprecha has been assisting a cosmetic surgery company with the employment of full- and part-time medical specialists. The department was further strengthened by the arrival of senior consultant Sumit Masrungson from Chandler MHM Limited in January 2018; Masrungson’s expertise spans contentious and non-contentious labour issues. Practice head Rawat Chomsri complements her labour and industrial relations practice with ancillary knowledge of workplace health and safety, while associate Phatcharapon Sunlakawit, who specialises in employment law, has accumulated significant experience in labour disputes.

Restructuring and insolvency

Utilising the experience of the firm's litigation, corporate and finance lawyers, Siam Premier International Law Office Limited has established a solid restructuring and insolvency practice. Its client base is diverse, spanning creditors, debtors, administrators and liquidators. In 2017 and 2018, corporate partner Linda Osathaworanan and litigator Noppramart Thammateeradaycho acted for a US-based client in filing a bankruptcy case against a Thai company. Elsewhere, Chatchavej Chitvarakorn advised a multinational company on the bankruptcy proceedings of a joint venture partner. The firm also advises on distressed M&A transactions. Bancha Wudhiprecha and Phasunsook Ayanaputra are the practice co-heads.
